Merck (MRK) said it has completed the previously announced sale of the Merck Consumer Care business to Bayer (BAYRY). Bayer will acquire Merck’s existing over-the-counter business, including the global trademark and prescription rights for CLARITINTM and AFRINTM, for $14.2B or approximately $9B in after-tax proceeds, less customary closing adjustments as well as certain contingent amounts held back that will be payable upon the manufacturing site transfer in Canada and regulatory approvals in Mexico and Korea. In conjunction with this transaction, Merck has also entered into the previously announced worldwide collaboration between the companies to develop and commercialize soluble guanylate cyclase modulators. This collaboration includes Bayer’s ADEMPASTM. The collaboration also includes opt-in rights for other early-stage sGC compounds in development by both companies. Merck will be making an upfront payment of $1B in connection with the sGC collaboration.

Ryanair welcomed the EU Commission's confirmation that Ryanair's airport agreements at Brussels Charleroi, Frankfurt Hahn, Alghero and Stockholm Vasteras airports comply with the Market Economy Investor Principle and do not infringe the EU State aid rules. The Charleroi finding affirms the EU Court's December 2008 ruling and brings to an end this long-running case which the EU Commission first considered in 1999. The company said, "Today's rulings are consistent with the EU Commission's previous confirmation that Ryanair's airport agreements with Aarhus, Bratislava, Marseille, Neiderrhein, Berlin Schonefeld and Tampere airports also comply with EU State aid rules." Ryanair noted the EU commission's decision concerning Zweibrucken airport, where Ryanair ceased operations in 2009 having carried just 50K passengers. All of Ryanair's airport arrangements comply with the EU State aid rules and Ryanair has therefore instructed its lawyers to repeal this ruling to the extend it alleges otherwise. Reference Link

U.S. construction spending undershot assumptions given a surprising 0.8% August drop, after downward revisions that left a smaller July bounce of 1.2% (was 1.8%) and a larger 1.6% (was 0.9%) June decline. Thankfully, much of the downside construction spending surprise was in the home improvement residual that doesn't enter GDP calculations, though analysts also saw small downside surprises for nonresidential and public construction. New residential construction actually beat estimates to trim the downward implications for Q3 growth prospects. Analysts still expect Q3 GDP growth of 3.0% after the 4.6% Q2 climb, with component growth of 8% (was 7%) for Q3 residential construction after an 8.8% Q2 climb, 3% (was 12%) for Q3 nonresidential construction after a 12.6% Q2 increase, and a flat Q3 government sending figure after a 1.7% Q2 pop that partly reversed a prior big Q4-Q1 drop.

Ameren Missouri filed with the Missouri Public Service Commission its 20-year plan that supports cleaner energy in the state of Missouri, including major expansions of solar and wind power. Ameren Missouri's comprehensive plan calls for transitioning its generation fleet to a cleaner and more fuel-diverse portfolio over the next two decades as energy centers reach the end of their useful lives. Ameren Missouri, a subsidiary of Ameren, would add nearly 500 megawatts of renewable power generation under the plan, which, together with other planned changes to its generation resources, would allow the utility to achieve a 30 percent reduction in carbon dioxide emissions by 2035, based on 2005 levels. The plan includes construction in 2016 of a second solar energy center that would be the largest in the state of Missouri. Major components of the plan include: Significantly expanding renewable generation by adding 400 MW of wind power, 45 MW of solar, 28 MW of hydroelectric and 5 MW of landfill gas; Retiring approximately one-third of Ameren Missouri's current coal-fired generating capacity. This includes converting two units at Meramec Energy Center to natural gas in 2016, and retiring the remaining units at Meramec by the end of 2022 and the Sioux Energy Center by the end of 2033; Reducing emissions of Ameren Missouri's existing coal fleet by continuing to make investments in pollution-control equipment; Adding 600 MW of efficient combined-cycle and clean-burning natural gas generation in 2034.

Reports of a withdrawn $617 B "fat finger" trade on Japan stocks overnight were picked up by Bloomberg, according to sources, which cited a massive OTC request for trades on some of the country's largest companies before it was quietly withdrawn. Data was sourced to the JSDA, which recorded an error report at the time. Mispriced or erroneous orders are not uncommon, but not of this scale which was the equivalent size of Sweden's economy and they were cancelled before they could be executed at 9:25 a.m. Tokyo time. While the Nikkei closed just 0.56% lower, USD-JPY has been pretty whippy after this event, after surging over 110 then retreating to 109.50, which shouldn't be that reassuring to the already spooked marketplace as stock in the U.S. head lower again.

Graham Holdings (GHC) announced that the company and the remaining partners in Classified Ventures have completed the sale of their entire stakes in CV to Gannett (GCI) for a price that values CV at $2.5B. The agreement to sell was announced on August 5. CV was a joint venture among Graham Holdings, A. H. Belo (AHC), Gannett, McClatchy (MNI) and Tribune (TRBAA) Media. Graham Holdings owned 16.5% of CV, whose primary asset is Cars.com, the online car shopping website. Gross proceeds to the selling partners are $1.8B. Total proceeds to Graham Holdings, net of transaction costs, are $408.5M, of which $16.5M will be held in escrow until October 1, 2015. The company will report a gain on the sale of its interest in CV Q4.

Synacor issued the following response to open letters to its board received from two of its stockholders: "Synacor values the views of its stockholders and welcomes constructive input toward our shared goal of maximizing long-term value for all stockholders. Recently, Synacor's board attempted to engage in cooperative dialogue with JEC Capital Partners and Ratio Capital Management, welcoming input and ultimately offering them representation on the board. However, the board's numerous good faith actions were each met with excessive and inappropriate demands by JEC and Ratio, lacking the best interest of all Synacor stockholders, and abruptly JEC and Ratio have abandoned discussions. It is disappointing that Ratio and JEC seem intent on continuing to wage their public campaign of insults and attacks in an attempt to force the company to capitulate to their short term agenda. Furthermore, Synacor's Board continues to have concerns regarding the motivations and actions of JEC Capital Partners. JEC is affiliated with Peter Heiland, who is both a Managing Director of JEC and the Interim CEO of a company with similar customers to Synacor and may have the intent to become a potential acquirer, and as such may have motives that are not aligned with other stockholders. The board has asked Synacor's management team to continue their focus on driving the company's growth agenda, streamlining operations, building best-in-class products, working with customers to generate sustainable shareholder value, and to avoid the distraction of filings made by a minority group of investors that fail to benefit the full population of Synacor stockholders. The company has streamlined the business and focused R&D costs, including the elimination of 70 positions, about 20% of the company's employees. The immediate impact is the FY14 adjusted EBITDA guidance increase from a range of ($2.5M)-($1M) to a range of ($1M) to breakeven, excluding the one-time costs related to the reduction in workforce and a $1M pretax gain from the sale in Q2 of a domain name."

Under the Funding Agreement, NCR received an aggregate of $93.08M from BAT, Windward and Appvion on September 30, 2014 towards Fox River Costs incurred by NCR from April 2012 through October 1, 2014. These funds will be used towards satisfying a receivable to NCR from Appvion under the 1998 Confidential Settlement Agreement between NCR, B.A.T. and Appvion. NCR and Appvion have agreed to instruct the American Arbitration Association not to release the pending decision in the arbitration between NCR and Appvion relating to disputes about Appvion’s liability under the 1998 Confidential Settlement Agreement during the term of the Funding Agreement, except as specifically provided in the Funding Agreement. Under the Funding Agreement, NCR will also receive fifty percent of Fox River Costs paid or incurred after October 1, 2014. The parties to the Funding Agreement have agreed, among other things, to vigorously pursue reasonable and viable claims they may have against third parties related to the Fox River and/or future sites and to use recoveries as described in the Funding Agreement. Depending upon, among other things, the amounts of such recoveries, NCR may also receive additional payments related to Fox River Costs incurred from April 2012 to the end of site remediation at the Fox River under the Funding Agreement. In addition, the parties have agreed that any surplus of recoveries from third parties following the end of site remediation at the Fox River will be used to fund sixty percent of NCR’s costs at certain future sites, if any.

Noble Energy confirmed plans to resume exploration drilling in the Falkland Islands in 2015 following the acquisition and evaluation of an extensive 3D seismic program over portions of the Company's 10 million acre position. The company's initial operated prospect has been named Humpback and is located in the Fitzroy sub-basin of the Southern Area License. The Humpback prospect is one of multiple stacked fan prospects clustered together in the sub-basin. This group of prospects combined has an estimated gross unrisked resource potential of approximately 1B barrels of oil equivalent. The company anticipates drilling operations at Humpback to begin in mid-2015, dependent on rig arrival. Noble Energy is currently finalizing prospect locations for a second exploration well, planned for later in 2015 following results at Humpback. Noble Energy operates its licenses offshore the Falkland Islands with a 35 percent working interest. In addition, the Scotia well, which was drilled in 2012 utilizing 2D seismic interpretation, has now been deemed non-commercial following evaluation of the 3D seismic data and full integration of well results into the company's geologic models. Noble Energy has updated its guidance for third quarter 2014 exploration expense to between $230M-$240M, including approximately $75M related to the Scotia well decision. Due to the increased exploration expense, the company expects its third quarter 2014 adjusted effective tax rate to be 35%-38%, with most of the tax provision representing current taxes.

Mondelez announced plans to invest $90M in building a biscuit plant in the Kingdom of Bahrain to meet rising demand in the Middle East and Africa for company brands such as Oreo, Ritz and TUC biscuits. With full commercial production scheduled to start in early 2016, the planned facility will be Mondelez's most advanced manufacturing site in the Middle East and Africa, where demand for its biscuits has been growing at double-digit rates. In the initial two- to three-year phase, the new plant will operate four biscuit-manufacturing lines with a total capacity of nearly 90,000 tons per year. Mondelez's supply-chain reinvention plan is expected to deliver $3B in gross-productivity savings, $1.5B in net savings and $1B in incremental cash over the next three years. These savings will be a primary driver of significant improvements in the company's base operating-income margin in the near term. The new plant will create as many as 300 direct jobs by the end of the initial phase and, through a multiplier effect, help sustain over 1,000 more in the local economy. Aimed at meeting demand in the Middle East and Africa for next 20 years, the facility has the potential to generate several hundred more direct jobs and sustain thousands of indirect jobs depending on future investment-decisions.

Alnylam Pharmaceuticals and collaborators from the American Porphyria Consortium and The European Porphyria Network have initiated the EXPLORE trial, a prospective observational study of patients with hepatic porphyrias, including Acute Intermittent Porphyria, Variegate Porphyria, and Hereditary Coproporphyria, suffering from recurrent attacks. With this study, Alnylam and clinical investigators aim to learn more about the clinical course, management, and disease burden of patients with hepatic porphyrias that suffer from recurrent attacks. Alnylam is currently advancing ALN-AS1, a subcutaneously administered investigational RNAi therapeutic targeting aminolevulinic acid synthase 1 for the treatment of hepatic porphyrias, and expects to file an IND or IND equivalent in late 2014 or early 2015. EXPLORE is a prospective, multi-center observational study designed to enroll up to 100 patients with hepatic porphyrias and a history of recurrent attacks. The study’s primary objective is to characterize the natural history, clinical management, and disease burden of patients with hepatic porphyrias. The study’s secondary objectives are to further characterize a number of disease features of hepatic porphyrias, including: (i) signs and symptoms of porphyria during acute attacks; (ii) levels of plasma and urinary aminolevulinic acid and porphobilinogen, the toxic intermediates of the heme biosynthesis pathway that cause the symptoms and disease pathology of the acute hepatic porphyrias; (iii) expression levels of aminolevulinic acid synthase-1 during acute attacks; and (iv) medical and family history of hepatic porphyria patients. Data obtained from EXPLORE are expected to further the understanding of hepatic porphyrias and to assist the design of clinical trials with ALN-AS1.

As a result of the merger, the company assumed $6.84M of Alarion's preferred stock. Cole Capital is the private capital management business of ARCP, which includes a broker-dealer, wholesale distribution, and a non-traded real estate investment trust, or REIT, sponsor and advisory businesses. RCAP estimates that the transaction will contribute 51c per share to 2015 adjusted net income, excluding synergies, assuming the $200M of stock compensation is paid in cash versus stock, depending on the amount of additional consideration paid in 2016. The transaction will close in two steps, with certain advisory and other agreements being entered into promptly upon clearance of the federal anti-trust waiting period, and the second closing, upon which the stock and assets of Cole Capital will be acquired, upon clearance of FINRA's change of ownership waiting period. RCAP will pay a portion of the base purchase price at the second closing and the balance in April 2015. The transaction is expected to close in Q4.
