| theflyonthewall.com: | YPF tumbles after warning of potential delisting, default | | YPF (YPF) is sinking after the Argentinean energy company warned that its stock could be delisted from the New York Stock Exchange and that it could face liquidity problems. YPF - which is now controlled by the Argentinean government after the government seized a majority stake in the company - said in an SEC filing this morning that it may be delisted by the New York Stock Exchange because its audit committee is no longer in compliance with the NYSE's rules. That's because the audit committee's powers have been transferred to an appointee of the Argentinean government, YPF said. Moreover, YPF added that it may default on its debt. A significant portion of the company's $1.6B in debt is linked to agreements stipulating that a change in control and/or nationalization of the company will constitute a default on those loans, the company explained. Furthermore, YPF may be forced to accelerate payment on other debts if it defaults on some of its loans. YPF is looking to obtain waivers from these provisions, but it may face short-term liquidity problems if it doesn't receive those waivers, the company said. However, YPF anticipates that it could obtain financing from other sources if necessary. In mid-afternoon trading, YPF sank $1.54, or 10.83%, to $12.68. :theflyonthewall.com |

YPF said, "Since April 16, 2012, the Company no longer has an audit committee that satisfies the requirements of Rule 10A-3 under the Securities Exchange Act of 1934, as amended. If we fail to cure this deficiency, NYSE rules provide that the NYSE may initiate suspension and delisting procedures with respect to our securities. The delisting of our ADSs would require any trading in these securities to occur in the over-the-counter market and could adversely affect the market prices and liquidity of the markets for these securities.
