Shares of sapphire maker GT Advanced (GTAT) are falling after research firm CLSA downgraded the stock in a note to investors today. The firm cited concerns about increased costs associated with the company's deal with Apple as the main reason for the downgrade. WHAT'S NEW: GT Advanced's costs associated with its deal to supply sapphire to Apple are being impacted by low yields, CLSA analyst Mark Heller wrote after speaking with strategic consulting firm Yole Dťveloppement. Lower yields will reduce the amount of sapphire that GT Advanced can produce for Apple, and will negatively affect GTís profit margins, explained Heller. He believes that GT Advanced's risk/reward ratio is balanced at current levels, and downgraded his rating on the shares to Underperform from Outperform. However, he raised his price target on the shares to $19 from $18. PRICE ACTION: In late morning trading, GT Advanced fell 2% to $18.

VirnetX (VHC) announced that on August 8 the U.S. District Court for the Eastern District of Texas, Tyler Division, issued its patent claim construction, or "Markman" Order and ruled on a VirnetX motion in the ongoing patent infringement action between VirnetX and Apple (AAPL). Both parties had presented arguments on the disputed terms along with various other motions at a Markman hearing on May 20. In the Markman order, the court denied Apple's Motion for Summary Judgment of Indefiniteness, in which Apple alleged that some of the disputed claims terms in the patents asserted by VirnetX were invalid for indefiniteness. In a separate order, the court granted in part and denied in part VirnetX's Motion for Partial Summary Judgment on Apple's Invalidity Counterclaims. The court's order precludes Apple from asserting invalidity as a defense against infringement of the claims that were tried before a jury in VirnetX's prior litigation against Apple. Apple is not precluded from asserting invalidity as a defense against infringement of the claims that were not tried before a jury in the Apple I case. "We are extremely pleased with the court's rulings and we remain confident in the merits of our complaint against Apple," said Kendall Larsen, VirnetX CEO and President. "We believe the court's Markman Order and motion ruling represents another significant step towards the successful resolution of this litigation."

Stocks finished the week fractionally higher than where they started as strong corporate earnings reports and better than expected economic data was weighed against concerns about geopolitical issues and negative M&A news. MACRO NEWS: A few ongoing geopolitical conflicts worried investors and weighed on shares. Russia unveiled sanctions against Western countries, banning the import of a wide range of food items from the U.S, the EU and a few allied countries in response to sanctions recently enacted against it from G7 nations... President Obama authorized the bombing of rebels in Iraq and Hamas and Israel failed to reach a permanent truce... An ISM services index, the U.S. trade deficit for June, and weekly jobless claims were all better than expected. Meanwhile, the increase in unit labor costs last quarter came in below the consensus outlook, perhaps easing fears that the Fed will need to raise interest rates sooner than expected. COMPANY NEWS: On the M&A front, two huge potential deals fell through as 21st Century Fox (FOX, FOXA) withdrew its offer to acquire Time Warner (TWX) and Sprint (S) reportedly decided to end its pursuit of a merger with peer T-Mobile (TMUS)... President Obama indicated that his administration would take unilateral steps in an effort to prevent companies from carrying out tax inversion acquisitions. Among the deals or possible transactions that involve inversion are Medtronic's (MDT) acquisition of Covidien (COV), Valeant's (VRX) proposed takeover of Allergan (AGN) and Mylan's (MYL) acquisition of Abbott's (ABT) developed markets branded generics pharmaceuticals business. Meanwhile, Walgreen's (WAG) stock tumbled after the U.S. company said it would not structure its takeover of European drugstore chain Alliance Boots as a tax inversion deal... 21st Century Fox, 3D printer maker Stratasys (SSYS), chip maker NVIDIA (NVDA), brewer Molson Coors (TAP), and luxury accessories maker Coach (COH) all rose following their earnings reports. Conversely, Target (TGT), luxury accessories maker Michael Kors (KORS) and Internet coupon provider Groupon (GRPN) fell following their results or guidance... Gannett (GCI) struck a deal to acquire the remaining 73% interest in Classified Ventures, whose primary asset is the online car shopping website Cars.com, for $1.8B from the other partners in the venture, which include McClatchy (MNI), Tribune Media (TRBAA), Graham Holdings (GHC) and A. H. Belo (AHC). Gannett also announced plans to spin-off its Publishing business, which includes USA Today, through a tax-free distribution to shareholders... McDonald's (MCD) stock was little changed after the company reported that its comparable store sales fell 2.5% in July, which was significantly worse than expected. Food quality issues weighed on the fast food company's sales in Asia and as a result of the China supplier issue, the company warned its previously issued global comparable sales forecast for 2014 is now at risk. INDEXES: The Dow finished the week up 0.35% to 16,553.93, the S&P 500 rose 0.32% to 1,931.59, and the Nasdaq gained 0.41% to 4,370.90.

Stocks on Wall Street began the session in positive territory and appeared ready to build on yesterdayís gains. There was little to point to as a catalyst, but the early move was likely helped by better than expected initial jobless claims data and an agreement to an extended ceasefire by between Gaza and Israel. The market saw its highs shortly after the open and then began to drift lower. By noon each of the major equity indexes had crossed into negative ground and by mid-afternoon the sellers were in control and renewed the selling trend that has been prevalent in recent sessions. ECONOMIC EVENTS: In the U.S., initial jobless claims dropped 14K to 289K in the week ended August 2, versus expectations for 300K new claims. Consumer credit grew by $17.3B in June, versus expectations for it to have increased $18.3B for the month. In Europe, both the European Central Bank and the Bank of England decided to keep their main interest rates unchanged. COMPANY NEWS: 21st Century Fox (FOXA) advanced $1.63, or 5.04%, to $33.96 after the company reported higher than expected fourth quarter earnings and the stock was upgraded to Market Perform from Underperform at Cowen. Chairman and CEO Rupert Murdoch spoke on the company's earnings conference call, which is a bit outside of the recent norm, and said the company's decision to no longer pursue an acquisition of Time Warner (TWX) is "resolute." Chief Operating Officer Chase Carey echoed that the company is "done" as far as Time Warner and added that 21st Century Fox says will not pursue any other content company. MAJOR MOVERS: Among the notable gainers was inContact (SAAS), which gained $1.34, or 17.45%, to $9.02 and was upgraded at Oppenheimer and Benchmark Co. after reporting better than expected Q2 results. Also higher was Stratasys (SSYS), which rose $14.78, or 14.94%, to $113.69 after the company reported stronger than expected second quarter results and raised its guidance. Among the noteworthy losers was Thoratec (THOR), which fell $9.83, or 30.18%, to $22.74 and was downgraded by at least four Street firms following the company's Q2 miss and lowered guidance. Also lower after its earnings report were shares of Coupons.com (COUP), which fell $4.58, or 23.5%, to $14.91. INDEXES: The Dow fell 75.07, or 0.46%, to 16,368.27, the Nasdaq dropped 20.08, or 0.46%, to 4,334.97, and the S&P 500 slipped 10.67, or 0.56%, to 1,909.57.

Stocks on Wall Street were nearly unchanged following a session dominated by talk of big name deals that did not happen. The market moved lower in the early going but found a level in the second half hour of trading and began to drift off the bottom. The averages crossed into positive territory about an hour after the opening bell and then spent most of the afternoon drifting. ECONOMIC EVENTS: In the U.S., the trade deficit narrowed to $41.5B in June from a revised $44.7B in May. In Europe, Italian GDP unexpectedly contracted 0.2% in Q2, putting the country into a technical recession, while German manufacturing orders surprised with a 3.2% June drop. COMPANY NEWS: Time Warner (TWX) reported better than expected quarterly profits, but its stock fell $10.95, or 12.85%, to $74.24 after 21st Century Fox (FOXA, FOX) last night announced that it had withdrawn its takeover bid for the parent of HBO, Warner Bros. and other entertainment properties. Class A shares of 21st Century Fox advanced $1.03, or 3.29%, to $32.33 in the wake of the news and the company's announcement of a $6B share repurchase program... Wireless carriers Sprint (S) and T-Mobile (TMUS) both fell after multiple media outlets reported that the third largest mobile phone carrier in the U.S. has ended its pursuit of trying to combine with the fourth largest one. Sprint, which also replaced CEO Dan Hesse with Marcelo Claure, the founder and CEO of SoftBank (SFTBF) subsidiary Brightstar, declined $1.38, or 18.96%, to $5.90, while T-Mobile shares slid $2.85, or 8.4%, to $31.06. MAJOR MOVERS: Among the notable gainers was brewer Molson Coors (TAP), which rose $3.87, or 5.76%, to $71.08 after the company's second quarter profits topped expectations. Also higher following its earnings report was Enphase Energy (ENPH), which advanced $1.36, or 14.02%, to $11.06. Among the noteworthy losers was Walgreen (WAG), which dropped $9.91, or 14.34%, to $59.21 after the company exercised its option to acquire the remaining 55% of Alliance Boots that it does not already own but said its purchase of the rest of the U.K.'s Boots will not be a "tax inversion" deal, as many had been expecting. Also lower were shares of Groupon (GRPN), which fell 90c, or 12.72%, to $6.17 after the company reported first quarter revenue that missed expectations and it lowered its fiscal 2014 adjusted EBITDA outlook. INDEXES: The Dow added 13.87, or 0.08%, to 16,443.34, the Nasdaq rose 2.22, or 0.05%, to 4,355.05, and the S&P 500 barely budged, gaining 0.03 to 1,920.24.

21st Century Fox (FOXA, FOX) is scheduled to report fourth quarter earnings after the market close on Wednesday, August 6, with a conference call scheduled for 4:30 pm ET. 21st Century Fox is a media company that operates the cable, broadcast, and film assets formerly bundled under the News Corp. (NWSA) umbrella. EXPECTATIONS: Analysts are looking for EPS of 38c on revenue of $7.99B, according to First Call. The consensus range for EPS is 36c-41c on revenue of $7.59B-$8.54B. LAST QUARTER: Fox reported third quarter adjusted EPS of 47c on revenue of $8.22B, which compared to estimates for earnings of 35c on revenue of $7.99B, respectively. Fox reported Q3 cable network revenue of $3.15B and filmed entertainment revenue of $2.28B. Fox reported that its Q3 television revenue was $1.59B. COMPANY NEWS: On June 10, Fox said in a filing that president and COO Chase Carey agreed to a two-year contract extension. On June 16, Both Time Warner (TWX) and Fox confirmed an earlier CNBC report that Time Warner rejected an $80B takeover offer from Fox. Time Warner said it turned down Fox's offer to acquire all of the outstanding shares of the company for a combination of 1.531 of Fox Class A non-voting common shares and $32.42 in cash per share. Time Warner added that its board is confident that continuing to execute its strategic plan will "create significantly more value for the company and its stockholders and is superior to any proposal that Fox is in a position to offer." 21st Century Fox also confirmed that it made a formal proposal to Time Warner, which was rejected, and added that the companies are not currently in any discussions. On August 5, however, Fox announced that it has withdrawn its proposal to acquire Time Warner. Chairman and CEO Rupert Murdoch commented: "We viewed a combination with Time Warner as a unique opportunity to bring together two great companies, each with celebrated content and brands. Our proposal had significant strategic merit and compelling financial rationale and our approach had always been friendly. However, Time Warner management and its Board refused to engage with us to explore an offer which was highly compelling. Additionally, the reaction in our share price since our proposal was made undervalues our stock and makes the transaction unattractive to Fox shareholders. These factors, coupled with our commitment to be both disciplined in our approach to the combination and focused on delivering value for the Fox shareholders, has led us to withdraw our offer." On July 25, Fox announced that it transferred Sky Italia and its 57.4% interest in Sky Deutschland to BSkyB to create a pan-European digital television leader through the combination of these assets. In exchange for the transfer, Fox will receive approximately $9.3B in value from BSkyB comprised of approximately $8.6B in cash and BSkyBís 21% interest in National Geographic Channels International, raising Foxís ownership stake to 73%. In addition, Fox participated in BSkyBís announced equity offering by purchasing approximately $900M of additional shares in BSkyB to maintain the companyís 39.1% ownership interest. The net, after-tax cash proceeds to be received by Fox upon completion of all the elements of this transaction approximated $7.2B. STREET RESEARCH: Wall Street research had been quiet on Fox during the quarter.
