Centerview has been hired by Time Warner Cable's (TWC) board to advise on the $61B bid by Charter Communications (CHTR), the Financial Times reports. Directors must decide whether to negotiate around the $132.50 per share offer or hold out for $160 per share. Sources say Time Warner Cable's board is also talking to "a number of" Wall Street law firms for advice. Reference Link

The FCC is pushing for media companies to submit details of their programming agreements with Comcast (CMCSA) ahead of the company's merger with Time Warner Cable (TWC), reports the Wall Street Journal. Citing a person familiar with the matter, the FCC believes the documents contain information that would be relevant in its review. Officials from media companies including CBS (CBS), 21st Century Fox (FOXA), Disney (DIS), Discovery (DISCA), Time Warner (TWX) and Viacom (VIA;VIAB) met with FCC staff earlier this month to voice concerns about releasing highly confidential materials. Starz (STRZA) may struggle to sell itself, according to the Wall Street Journal citing challenges facing standalone media companies. The publication says that the standalone networks -- Starz, AMC Networks (AMCX) and Scripps Networks (SNI) -- "lack the heft" of larger peers in negotiations regarding affiliate deals, and look "increasingly vulnerable" now that Comcast (CMCSA), Time Warner Cable (TWC), DirecTV (DTV) and AT&T (T) are joining forces. Ford (F) has fulfilled its commitment to the UAW to create 12,000 U.S. hourly jobs by 2015, announcing 1,200 new jobs and a second shift at Kansas City Assembly Plant, where the all-new Ford Transit is built. Ford has already met its goal of creating 12,000 hourly jobs in the United States by 2015 as part of the 2011 UAW contract talks; total new job creation to date exceeds 14,000. Kansas City Assembly Plant adds 1,200 jobs to support growing demand for the all-new Ford Transit family of commercial vehicles; jobs are in addition to the 2,800 jobs added in 2012 and 2013. Transit posted its third consecutive month of U.S. sales growth in August, with nearly 1,100 sold; Transit recently posted its first large fleet order with Charter Communications (CHTR). The company ordered more than 800 low-roof, regular-wheelbase Transit vans to be used by its technicians across 29 states.
