Telefonica (TEF) and NII Holdings (NIHD) have signed agreements whereby Telefonica will provide NII's subsidiaries, operating under the Nextel brand in Brazil and Mexico, nationwide voice and data coverage services on Telefonica's 3G wireless networks. When implemented, the agreements will expand the areas in which Nextel customers using 3G services in Brazil and Mexico can access voice and data services, supporting NII's growth strategy. Both companies will work closely to implement the agreements as soon as possible. Telefonica and NII's subsidiaries will continue to manage their spectrum and network assets separately to provide competing services.

NII Holdings announced that it has satisfied the conditions to the effectiveness of the First Amended Joint Plan Of Reorganization of the company and certain of its subsidiaries that was confirmed by the United States Bankruptcy Court for the Southern District of New York on June 19 and has successfully emerged from its Chapter 11 reorganization proceedings. Under the Plan, a new Board of Directors of NII consisting of seven directors was created at the time the Plan became effective. Currently the directors include CEO Steven Shindler, Kevin Beebe, James Continenza, Howard Hoffmann, Ricardo Knoepfelmacher and Christopher Rogers with one director vacancy that is expected to be filled in coming weeks. Under the Plan, approximately 100 million shares of NII Holdings' new common stock and $745M in cash will be distributed to holders of senior notes issued by the Company's subsidiaries, NII Capital Corp. and NII International Telecom S.C.A. The Company has applied to list the shares of NII Holdings' new common stock on the NASDAQ Stock Exchange. It is expected that the conditions to that listing will be satisfied in coming weeks, at which time the shares are expected to trade under its former ticker symbol "NIHD".

Vivendi (VIVHY) announced that it has received 1.11B ordinary shares, or 8.24%, of Telecom Italia (TI) in exchange for 4.5% of the share capital of Telefonica Brasil (VIV), in accordance with the option given to it as part of the sale of GVT to Telefonica (TEF). Separately, Vivendi increased its ordinary shares in Telecom Italia from the recently purchased 1.9% with an additional stake of 4.76% purchased on June 22 for a total of 6.66%, representing a global cash payment of approximately EUR1B. Vivendi now owns 14.9% of Telecom Italia’s ordinary shares and has thus replaced Telefonica as the company’s largest shareholder. "This investment represents an opportunity for Vivendi... to expand in a market with significant growth prospects and a very strong appetite for quality content. Vivendi intends to support Telecom Italia over the long term," said the company.
