As previously reported, KeyBanc upgraded VF Corp (VFC) to Buy from Hold with an $80 price target. The firm cited momentum at its Timberland brand, VF's strong brand portfolio, and the potential for another large M&A transaction. The analyst said VF Corp. is well positioned to complete another large deal and could target lululemon (LULU). KeyBanc believes lululemon's quality issues, forecasting and store operational challenges play into VF Corp.'s strengths and that such an acquisition would be 10c accretive initially and 80c accretive over time.

Stocks on Wall Street opened in negative territory and have remained there throughout the morning. Initial jobless claims, reported prior to the open, did little to stoke buying after coming in higher than expected. The market has drifted off its lows of the session but the averages once again remain range bound. ECONOMIC EVENTS: In the U.S., initial jobless claims rose 11K to 315K in the week ended September 6, versus expectations for them to tick down slightly to 300K. The Federal budget for August is scheduled to be reported at 2:00 pm ET, with a deficit of $130.0B forecast. COMPANY NEWS: Shares of yoga-inspired apparel maker lululemon (LULU) rose over 15% after the company reported better than expected second quarter results and increased its fiscal year guidance. Meanwhile, shares of another well-known retailer, RadioShack (RSH), advanced 16% after its own quarterly report, despite acknowledging it will need additional capital to complete its turnaround and that it may need to pursue a bankruptcy filing. MAJOR MOVERS: Among the notable gainers was JDSU (JDSU), which advanced 11% after announcing last night that it plans to separate into two publicly traded companies, namely an optical components and commercial lasers one and another focused on network and service enablement. This morning the stock was upgraded at RBC Capital to Outperform, as the firm believes that the split should enable the entities to streamline their costs and that the shares could reach a $40 value over the long-term. Also higher was Taminco (TAM), which rose nearly 11% and traded above the $26.00 per share price it agreed to in striking a deal to be acquired by Eastman Chemical (EMN). Of note, the deal includes a "go shop" provision under which Taminco may solicit alternative acquisition proposals for a thirty day period. Following the announcement, Eastman shares rose a bit over 1%. Among the noteworthy losers was E2open (EOPN), which plunged 30% and was downgraded at Pacific Crest and Northland after the company pre-announced Q2 results and issued weaker than expected 2015 revenue guidance. Also lower were shares of China's 21Vianet (VNET), which fell 17% after the company hosted a conference call to discuss the recent allegations made by a short seller. INDEXES: Near midday, the Dow was down 40.49, or 0.24%, to 17,028.22, the Nasdaq was down 12.73, or 0.28%, to 4,573.80, and the S&P 500 was down 3.66, or 0.18%, to 1,992.03.

Shares of Lululemon (LULU), a designer and retailer of yoga-inspired apparel operating primarily in North America and Australia, are sharply higher this morning after the company reported better than expected second quarter results and increased its fiscal year guidance. WHAT'S NEW: Lululemon reported Q2 earnings per share of 33c on revenue of $390.7M, beating analysts' consensus estimates of 29c and $367.8M, respectively. Total comparable sales, which includes comparable store sales and direct to consumer, were flat for the quarter on a constant dollar basis. Same-store-sales for the period fell 5% on a constant dollar basis and direct to consumer revenue increased 30% on a constant dollar basis, the company said. Chief Executive Officer Laurent Potdevin said the company is making "meaningful progress on building a scalable foundation for our next phase of global growth." Looking ahead, lululemon sees third quarter EPS to be in the range of 36c-38c on revenue of $420M-$425M, in line with analysts' estimates of 38c and $421.85M, respectively. The retailer anticipates total SSS for the quarter to be up in the low single digits on a constant-dollar basis. WHAT'S NOTABLE: After previously cutting its fiscal year 2014 EPS guidance to $1.71-$1.75 from $1.80-$1.90, lululemon this morning raised its normalized EPS view to $1.72-$1.77. The company also raised the bottom end of its revenue guidance to $1.78B-$1.8B from $1.77B-$1.8B; the company's revenue view had previously been lowered to $1.77B-$1.8B from $1.77B-$1.82B. For the fiscal year, analysts are expecting EPS of $1.74 and revenue of $1.78B. For FY14, the company sees total comparable SSS to be up in the low single digits on a constant-dollar basis. During Q2, lululemon founder Chip Wilson and Advent International entered into an agreement under which Wilson would sell half his stake to private equity firm Advent for $845M and Advent would receive two board seats and review the company's governance. On its Q2 earnings conference call, lululemon said that it is "happy" to have Advent back as a shareholder and is "looking forward" to having Advent's guidance going forward. The retailer forecast Q3 and FY14 gross margin of approximately 51% and said it is on track to open a store in Singapore in the fourth quarter. PRICE ACTION: During morning trading, lululemon rose $6.29 or 16.78%, to $44.69.

Apple announced iPhone 6 and iPhone 6 Plus, featuring two new models with 4.7-inch and 5.5-inch Retina HD displays. The new iPhones feature a unibody enclosure of anodized aluminum that conforms with the shaped glass of the display. iPhone 6 and iPhone 6 Plus include the Apple-designed A8 chip with second generation 64-bit desktop-class architecture for fast performance and power efficiency. Both models include the M8 motion coprocessor that gathers motion data from the accelerometer, gyroscope, compass and the new barometer. iPhone 6 and iPhone 6 Plus introduce Apple Pay, a new way to securely pay for physical goods and services in stores or apps. Users can pay securely in stores by holding the phone near the contactless reader while keeping a finger on Touch ID. The iSight camera gets better with a new sensor featuring Focus Pixels for faster autofocus and iPhone 6 Plus users will also benefit from optical image stabilization technology that compensates for hand shake in low light and works with iOS 8 to reduce subject motion. With faster LTE download speeds of up to 150 Mbps, iPhone 6 and iPhone 6 Plus users can browse, download and stream content faster. The new iPhones also support voice calls over LTE, or VoLTE, as well as Wi-Fi calling. iPhone 6 comes in gold, silver or space gray, and will be available in the U.S. for a suggested retail price of $199 for the 16GB model, $299 for the 64GB model and 128GB model for $399 with a two-year contract. iPhone 6 Plus comes in gold, silver or space gray, and will be available in the US for a suggested retail price of $299 for the 16GB model, $399 for the 64GB model and $499 for the new 128GB model with a two-year contract.
