| theflyonthewall.com: | Swisher Hygiene to acquire Specialty Products of America | | Swisher Hygiene announced that it has signed an agreement to acquire the assets and certain liabilities of Specialty Products of America, subject to the satisfaction of customary closing conditions. Specialty Products develops, markets and manufactures chemical programs for distributors in the Southeastern United States. These programs include a wide range of warewashing, housekeeping, cleaning, building maintenance, floor care and air care products. Concurrent with the acquisition, Bill Mercur and Phil Seid, the owners of Specialty Products, will be joining Swisher Hygiene. Upon closing, total consideration to be paid for by Swisher Hygiene in connection with the acquisition includes $517,000 in cash, the assumption of certain liabilities and the issuance of 114,810 shares of Swisher Hygiene common stock subject to customary restrictions, including acceptance by the Toronto Stock Exchange. :theflyonthewall.com |
