Foster Wheeler CEO J. Kent Masters told employees in a letter that the new organizational structure that will be integrated with its recent acquisition of AMEC will not be implemented until 2015. The deal between Foster and AMEC is expected to complete in Q4.

Foster Wheeler issued an internal announcement to its employees to provide an update regarding the company’s pending acquisition by AMEC, which was previously announced on a Current Report on Form 8-K filed on February 13. A copy of the internal announcement is attached as Exhibit 99.01 to this Current Report on Form 8-K and is incorporated herein by reference. The internal announcement contains statements intended as “forward-looking statements” that are subject to the cautionary statements about forward-looking statements set forth below in this Form 8-K. The pending exchange offer by AMEC to acquire all of Foster Wheeler’s issued and to be issued registered shares has not commenced. At the time the Offer is commenced, AMEC will file a registration statement on Form F-4 and a Tender Offer statement on Schedule TO and the company will file a Recommendation Statement on Schedule 14D-9 with respect to the Offer. These documents will contain important information about the Offer that should be read carefully before any decision is made with respect to the Offer. These materials will be made available to the shareholders of the company at no expense to them.

Technip was awarded by Deep Gulf Energy II a lump sum contract for the development of the Kodiak field, located in Mississippi Canyon Blocks 727 and 771, in the Gulf of Mexico, at water depths ranging from 1,472 meters to 1,710 meters. The project consists of a subsea tie-back to the Devils Tower Truss Spar located in Mississippi Canyon Block 773. To withstand Kodiak field’s high temperature and pressure as well as extremely corrosive production fluids, the pipeline will be of a bi-metallic construction, lined with corrosion resistant alloy. This solution effectively addresses the challenges of increasingly demanding operating conditions.

Technip has been awarded a substantial Engineering, Procurement, Installation, Construction, or EPIC, lump sum contract by BP Trinidad and Tobago for the development of the Juniper project, to be located off the Southeast coast of Trinidad. The scope of work consists of design, detailed engineering, procurement, construction, load out and mechanical completion of: 4,300 short ton topsides that can process 590M standard cubic feet per day of gas, 6,100 short ton jacket. The contract will also cover the design, detailed engineering, procurement, fabrication, transport, installation and pre-commissioning of: 5 off, 10” and 8” internal diameter flexible flowlines, 26” outside diameter , 10km concrete coated rigid subsea pipeline, an extensive diving campaign to support clients LNG train and field turnaround, large number of subsea structures and tie-in spools. Additionally, it includes the transport and installation of client supplied umbilicals, trees and flying leads.

Willbros Group CEO of the company since January 2007, Robert R. Harl, is retiring when his current employment agreement expires on January 2, 2015. John T. McNabb, II, non-executive Chairman of the Board of the company, has been elected by the Willbros board of directors as Executive Chairman of the Board on an interim basis, effective immediately. Willbros is continuing its search to identify a successor to Mr. Harl. It is anticipated that Mr. McNabb will step down as executive chairman of the board and continue to serve as a director, once a successor has been selected and is in place.
