Balch Hill and Potomac Capital entered into a joint filing agreement pursuant to which, among other things, they agreed to solicit proxies or written consents for the election of persons to be nominated to the board of STEC at the 2013 annual meeting of shareholders. The nomination deadline for the annual meeting is February 16, 2013. Balch Hill and Potomac collectively intend to nominate directors for election at the meeting but have not yet determined the nominees or the number of directors that they will seek to nominate. Balch Hill and Potomac own an 8.8% stake in STEC. | |
