Solera announced that it has purchased 100% of the equity interests of the AutoPoint companies from Service Repair Solutions, pursuant to Solera's rights under the definitive SRS joint venture agreements signed with an affiliate of Welsh, Carson, Anderson & Stowe. SRS is a joint venture between a subsidiary of Solera and Welsh Carson.

Solera Holdings announced that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, applicable to its proposed acquisition by an affiliate of Vista Equity Partners, was terminated by the United States Federal Trade Commission on October 9. As previously announced on September 13, Solera and Vista have entered into a definitive merger agreement pursuant to which an affiliate of Vista will acquire Solera in a transaction valued at approximately $6.5M, including the existing net debt of Solera. Termination of the HSR Act waiting period is one of the specified conditions to which closing of the Merger is subject. The completion of the Merger remains subject to certain other closing conditions, including adoption of the Merger Agreement by the company's stockholders and the receipt of certain other non-United States regulatory approvals.

IHS Inc. (IHS) issued a press release to confirm that during its earnings call earlier with analysts, IHS Chairman and CEO Jerre Stead responded to speculation about IHS acquiring Solera (SLH). Stead said: "Our normal practice is to not comment on market rumors or speculation and I have only done so one other time. However, since the recent speculation is causing uncertainty for shareholders I feel it appropriate to comment that we are not pursuing the acquisition of Solera. We will not be commenting further on this topic."

Shares of Solera (SLH) are lower this morning after IHS Inc. (IHS) commented on its earnings conference call that it was not pursuing an acquisition of the software and service provider. Meanwhile, IHS is higher in morning trading after it reported third quarter earnings that were better than analysts expected. WHAT'S NEW: IHS, a global source of information and analytics, reported Q3 adjusted earnings per share of $1.56 on revenue of $587.95M, beating analysts' consensus estimates of $1.47 and $579.07M, respectively. The company said subscription revenue was up 8% to $466.6M in the quarter. Looking ahead, IHS forecast fiscal year 2015 adjusted EPS at the high end of its prior $5.80-$6.00 guidance, with FY15 revenue at the mid-point of its $2.3B-$2.34B guidance, against analysts' estimates of $5.92 and $2.32B, respectively. The company sees FY15 subscription revenue growth at the low end of its 5%-6% range, negative non-subscription organic growth and total organic growth for the fiscal year of 1%-2%. WHAT'S NOTABLE: IHS commented on its earnings conference call that while it is not its usual practice to comment on market rumors, it is not pursuing an acquisition of Solera. IHS noted that the recent market speculation was "causing uncertainty" for its shareholders. Reuters reported on Friday that IHS was preparing to make a stock-and-cash bid for Solera this week that would exceed Vista Equity Partners' $55.85 per share offer for Solera. Vista is planning to buy Solera for about $6.5B including net debt. According to sources, Reuters said that IHS sees synergies between Solera and its R.L. Polk & Co unit. Today, IHS said on its call that when the "right" acquisitions come that fit its criteria of being very accretive to EPS and strategically complementary, "we'll look forward to acquiring them." PRICE ACTION: Solera is down 2.3% to $53.79 in morning trading. Meanwhile, IHS is up 5.6% to $111.25.
