Marathon Partners Equity Management beneficially owns 5.06% of Shutterfly's shares and Mario Cibelli beneficially owns 5.07% of the shares, as disclosed in a regulatory filing. Marathon and Cibelli have been and may continue to be in contact with members of Shutterfly's management, its Board of Directors, other significant shareholders and others regarding alternatives that the company could employ to improve shareholder value, the filing stated. Marathon and Cibelli have purchased call option contracts relating to Shutterfly's common stock with an expiration date of January 17, 2015 that give the right to purchase 225,000 shares at a strike price of $40.00 and the parties have purchased call option contracts relating to the stock with an expiration date of December 20, 2014 that give the right to purchase 35,000 shares at a strike price of $45.00, the filing noted.
