News Breaks | | | | March 7, 2013 | | 08:31 EDT |  | RXII, OPK | RXi Pharmaceuticals, OPKO Health announce strategic pooling of RNAi assets RXi Pharmaceuticals Corporation (RXII) and OPKO Health (OPK) announced a strategic pooling of their respective assets in the field of RNA interference. According to the terms of an asset purchase agreement jointly executed by the parties, RXi will acquire substantially all of OPKO’s RNAi-related assets, including an extensive intellectual property portfolio. The patent portfolio includes 12 patent families with claims relating to important biological targets, including vascular endothelial growth factor, hypoxia-inducible factor 1-alpha, intracellular adhesion molecule 1, angiopoietin 2, and complement component 3. These molecules are believed to play an important role in diseases of the eye, cancer, immune disorders, and inflammatory diseases. The acquisition is expected to close on March 12, 2013, subject to satisfaction of closing conditions. As consideration for these assets, RXi will issue to OPKO 50 million shares of its common stock and will make milestone payments to OPKO up to an aggregate of $50 million per product tied to the successful development and commercialization of products utilizing the acquired OPKO intellectual property. In addition, upon commercialization of these products, if approved, RXi would make royalty payments to OPKO. | |

| May 23, 2013 | | 09:35 EDT |  | OPK | OPKO Health surpasses 50% enrollment in first Phase 3 trial of Rayaldy OPKO Health has surpassed 50% enrollment in the first Phase 3 trial of Rayaldy to treat patients with secondary hyperparathyroidism, stage 3 or 4 chronic kidney disease and vitamin D insufficiency. This trial is the first of two identical randomized, double-blind, placebo controlled, multi-site studies intended to establish the safety and efficacy of RayaldyTM as a new treatment for SHPT in the targeted population. The endpoints of both studies, which will be conducted in parallel, include vitamin D status and changes in serum calcium, serum phosphorus and plasma intact parathyroid hormone. Each of the phase 3 trials will involve 210 patients recruited at approximately 40 sites in the U.S. These patients are being stratified by CKD stage and randomized in a 2:1 fashion to receive six months of treatment with either RayaldyTM or placebo.
