RELM Wireless announced that, after discussions with representatives of Privet Fund, the company and Privet Fund have entered into a settlement agreement regarding the membership and composition of the board of the company. Pursuant to the settlement agreement the company has appointed James Henderson to serve as a director of the company and nominated Henderson, along with all of the other seven incumbent directors, for election at its 2014 Annual Meeting of Stockholders to be held on May 21. Henderson was also appointed to the Nominating and Governance Committee of the board. Henderson has served as chairman and interim CEO of School Specialty since July, 2013.

09:01 EDTRWCRelm Wireless announces agreement with Fundamental Global Partners
RELM Wireless announced that, after discussions with representatives of Fundamental Global Investors, which is deemed to own approximately 12% of the outstanding capital stock of the company, the company and Fundamental have entered into an agreement pursuant to which Fundamental shall have the right, upon written notice to the company, to nominate a director to serve on the board of the company, and following such notice the company will increase the size of the Board and appoint such appointee to fill such vacancy until such time as his or her successor is duly elected and qualified. In addition, Fundamental has agreed to vote in favor of all of the company's Board nominees in connection with the 2015 Annual Meeting of Stockholders of the company. The agreement will be included as an exhibit to the company's current report on Form 8-K which will be filed with the SEC. Further details regarding the 2015 Annual Meeting will be included in the company's definitive proxy materials, which will be filed with the SEC.
