15:02 EDTAMZN, ROVIRovi issues statement in response to court ruling in Amazon case
The U.S. Court of Appeals issued its decision in Roviís (ROVI) patent infringement litigation against Amazon (AMZN). Rovi had sued Amazon for infringing the two patents at issue in the decision. The appeals court sided with Amazon and found that the District Courtís interpretation of the claims of the patents was correct and therefore Amazon did not infringe these patents. "We are disappointed by this decision," said Rovi executive VP Samir Armaly, worldwide intellectual property and licensing. "It should be noted that this decision relates to only two patents in our extensive portfolio. We believe that our portfolio is even more relevant to Amazon today and going-forward than when the present litigation began in early 2011. Since that time, Amazon has continued to expand its video and over-the-top offerings through new products like the recently announced Fire TV. As illustrated by various recent agreements, Roviís patent portfolio continues to be recognized by leading companies looking to deliver compelling video experiences across multiple screens. We plan to continue to pursue Amazon going-forward to take the necessary licenses under our patent portfolio, not only to protect our rights but also the rights of our existing licensees in this space."

Piper Jaffray analyst Gene Munster is positive on shares of Amazon.com into the company's March quarter earnings report on April 23. Munster believes Amazon's margins will exceed expectations for the next two quarters, and he expects shares "will continue to work" if margins go higher. The analyst reiterates an Overweight rating on Amazon today with a $475 price target.

Engaged Capital, an investment firm specializing in small and mid-cap North American equities and beneficial owner of 550,000 shares of the common stock of Rovi, sent a letter to shareholders in connection with its campaign to elect three directors at the company's May 13 annual meeting, which states in part: "We believe the incumbent Board displays all the hallmarks of a broken and unaccountable governance structure that has incubated poor decision making and led to the continued destruction of shareholder value. We have engaged privately with the Board over many months and proposed a compromise on Board reconstitution that would give shareholders a voice in the boardroom. However, after the Boardís repeated failure to engage in a constructive manner, we lost confidence in their ability to act in the best interests of Rovi shareholders...In seeking minority Board representation, we have struck what we believe is a careful balance between adding fresh perspective and needed expertise to the Board, and maintaining a significant level of Board continuity."
