Sprint (S) announced that it has filed a complaint in the Delaware Court of Chancery against DISH Network (DISH) and Clearwire (CLWR) asking the court to prevent the consummation of the DISH tender offer for Clearwire. Sprint believes the transaction violates Delaware law and the rights of both Sprint and Clearwire’s other strategic investors under Clearwire’s charter and under the equity hHolders agreement. Stocks on Wall Street were higher following a session dominated by speculation over what is next for the Federal Reserve. The averages trimmed their gains after an article by the Financial Times suggested the Fed would signal a tapering of its pace of asset purchases at its Wednesday press conference. The upward trend resumed after the article's author said the report was based on opinion and that, "The Fed does not leak anything to any journalist to steer markets - especially during blackout." ECONOMIC EVENTS: In the U.S., the New York Fed Empire State Survey for June came in at 7.40, versus expectations for a 0 reading. The NAHB housing market confidence index for June rose to 52, versus the forecast for a more modest climb to 45 from its prior 44 reading. In Europe, Germany's Bundesbank said economic indicators for April pointed to robust growth in the second quarter and business sentiment improved in May, though warned of signs that growth in Europe's largest economy would slow over the summer. COMPANY NEWS: Netflix (NFLX) and DreamWorks (DWA) both climbed after announcing a major content deal. Under the agreement, DreamWorks will provide over 300 hours of content to Netflix, which the TV and movie service expects to start broadcasting next year. After the announcement, Netflix rose $15.24, or 7.12%, to $229.23, while DreamWorks added 93c, or 4.08%, to $23.74. MAJOR MOVERS: Among the notable gainers was Kandi Technologies (KNDI), up $1.53, or 24.4%, to $7.80 after saying it will deploy 5K-10K pure electric vehicles in China within the first year of launch. Also higher were shares of ViroPharma (VPHM), up $1.71, or 6.3%, to $28.87 after Reuters said the company has attracted takeover interest, though the company is not pursuing a sale. Among the noteworthy losers was Terex (TEX), down $2.45, or 7.72%, to $29.29 after the company lowered it fiscal year earnings view. Also lower was Medivation (MDVN), down $3.45, or 6.78%, to $47.41 after Johnson & Johnson (JNJ) acquired the company's competitor, privately held Aragon Pharmaceuticals. The stock is down over 12% at time of writing to $27.91 following a revision in guidance from the company earlier today. It took down Q2 EPS to a range of 50 cents to 60 cents versus consensus of 82 cents. For its fiscal year 2013, it cut its view to $1.90 to $2.10 per share versus expectations of $2.40 to $2.70 per share. At current price, next support is at $26.93. Terex Corporation announced that it is lowering its FY13 earnings per share view to $1.90-$2.10, as adjusted for certain non-recurring items. Previous full year 2013 guidance was an earnings per share of between $2.40 and $2.70. The company said, “The level of sales growth has softened overall for Terex when compared with the increases we originally anticipated for 2013. More specifically, we are experiencing a softer marketplace for our Construction, Material Handling & Port Solutions, and, to a lesser degree, our Cranes operations. We do continue to experience positive replacement demand for Aerial Work Platform products and solid performance for Materials Processing. However, strength from these businesses will not offset the revenue variances of the balance of our business. Fundamentally, North America continues to improve, but now at a slower pace, while Europe remains challenging overall, and the markets in the rest of the world are mixed. We remain generally on track with the operating changes underway, including the cost reduction initiatives in our MHPS and Cranes businesses, as well as the divestiture of underperforming businesses in our Construction segment. Clearwire (CLWR) announced that its board of directors, based on the unanimous recommendation of the Special Committee consisting of independent, non-Sprint (S)-affiliated directors, has unanimously recommended that stockholders accept and tender into DISH Network's (DISH) cash tender offer to acquire all outstanding common shares of Clearwire at the previously announced price of $4.40 per share. The DISH tender offer has been amended and now is currently set to expire at 12:00 midnight, Eastern time, at the end of July 2, unless extended or terminated in accordance with the terms and conditions of the offer.
