HIGHER: Open Table (OPEN), up 47% after Priceline (PCLN) agreed to acquire the company for $103 per share. Shares of Priceline are down about 0.5% after the announcement, while a number of companies in the same space as OpenTable or in related spaces are trading higher, including Yelp (YELP), LiveDeal (LIVE), Groupon (GRPN), and GrubHub (GRUB)... Express (EXPR), up 23% after Sycamore Partners said it has a 10% stake and is seeking to acquire the remaining shares in the company... Intercloud Systems (ICLD), up 24% after being initiated with a Buy at Aegis, announcing that it has become a VMware (VMW) partner... Intel (INTC), up 6.6% after raising its quarterly and fiscal 2014 outlook, being upgraded by at least three Street research firms. LOWER: Finisar (FNSR), down 23% after shares downgraded at Craig-Hallum following its quarterly report and guidance... EnteroMedics (ETRM), down 5% after the FDA posted breifing documents ahead of an upcoming advisory panel review of the company's MAESTRO implantable medical device for weight loss.

ISS and Glass, Lewis & Co, two influential proxy advisory firms, are recommended Intel (INTC) investors vote against the reelection of eBay (EBAY) CEO John Donahoe to the company's board, The Wall Street Journal reports. Citing what it characterized as a poor attendance record, Glass Lewis commented "We view this as a failure by this director to fulfill a fundamental responsibility to represent shareholders at such meetings," while ISS said Donahoe "lacked a valid excuse" for attending less than 75% of the meetings held by the Intel board and committees he serves on in 2014. Intel's annual shareholders meeting is scheduled for May 21. Reference Link

Baird analyst Colin Sebastian tells investors this morning that shares of Yelp are at risk of a pullback if a takeover is not consummated "within the relatively near future." Sebastian, while stating Yelp's content and review database could make an attractive acquisition candidate for a "number of platform companies," writes that the risk/reward is "roughly balanced" following last week's rally amid reports of a potential buyout. The analyst cautions that a sales process, as the Wall Street Journal reported Yelp is undertaking, does not guarantee a transaction, as Shutterfly (SFLY) recently showed. With a deal not consummating in the near term, Sebastian sees "increasing risks" in owning Yelp shares above the $50 level. The stock closed Friday at $49.93. Sebastian has a Neutral rating on Yelp with a $46 price target.
