Nokia Networks (NOK) announced that it has bought a broad solution for advanced geolocation capabilities from NICE Systems (NICE) to enhance the planning and optimization of mobile networks. "The evolution of small cells and LTE necessitates more accurate 3-D geolocation capabilities. Nokia Networks intends to enhance this unique solution in order to offer superior services to our customers, regardless of which network gear they use," said Dennis Lorenzin, head of Network Planning and Optimization at the Global Services business unit of Nokia Networks.

Opel CEO Karl-Thomas Neumann said he sees the need to improve volume, scale and utilization in the industry and in his company, but ruled out a deal with Fiat Chrysler (FCAU), whose own CEO has been vocal about the need for consolidation among automakers, Reuters reported. Neumann declined to comment on whether Opel would seek to join a consortium that is bidding for Nokia's (NOK) HERE mapping business and added that Opel has pared back the extent of cooperation projects with Peugeot (PUGOY) and focused on using parent company General Motors' (GM) platforms instead, the report added. Nokia (NOK) CEO Rajeev Suri said the company has received high quality bids for its HERE maps unit, while declining to comment on bidders, but added that the company is in no hurry to sell, reported Reuters, citing comments made in an interview with trade magazine European Communications. Prior reports have indicated that Daimler's (DDAIF) Mercedes-Benz, Volkswagen's (VLKAY) Audi and BMW (BAMXY) are partnering with private equity firm General Atlantic in their pursuit of the unit, while Uber is said to be teaming up with Baidu (BIDU) and Apax Partners to also pursue a bid. Elbit Systems (ESLT) announced that it has signed an agreement to acquire NICE Systems' (NICE) Cyber and Intelligence division for a total amount of up to $157.9M, subject to certain customary adjustments. Out of the total amount, $117.9M will be paid in cash at the time of the closing, expected to take place in the third quarter of 2015, subject to certain closing conditions. An additional amount of up to $40M will be paid as earn-out, based upon the future business performance of the acquired division's activities. NICE's Cyber and Intelligence division's yearly revenue in 2014 was in the high tens of millions of dollars. The Cyber and Intelligence division will be acquired by CYBERBIT LTD, Elbit Systems' subsidiary, recently established in order to consolidate Elbit Systems' existing activities relating to the Cyber Intelligence and Cyber Security markets. CYBERBIT will focus on both the emerging government and commercial cyber markets, leveraging Elbit Systems extensive and proven cyber experience and technologies.

NICE Systems (NICE) has entered into an agreement to sell its Intelligence division to Elbit Systems (ESLT), for a total consideration of up to $157.9M, subject to certain performance milestones and customary adjustments. NICE's Intelligence division offers solutions which provide law enforcement agencies, intelligence organizations and signal intelligence agencies with tools for generating intelligence from communications. This divestiture will allow NICE to place greater focus on the execution of its long-term strategic plan and to focus on its core markets and business model. The transaction is scheduled to close in early Q3. Within the structure of the agreement, NICE will receive $117.9M in cash at the time of the closing. An additional amount of up to $40M will be paid as earn-out, based upon the future business performance of the acquired division's activities.
