Albemarle (ALB) says it views its merge with Rockwood (ROC) as a "decisive move." Says transactions accelerates growth, enhances earnings profile and doubles Albemarle's size. Expects revenue growth to be well above GDP. Says "well positioned" for core earnings growth drivers to drive business. Says the transaction will generate "strong" free cash flow to allow for the company to continually invest in key growth drivers. Says transaction will enable to Albemarle to have more consistent and predictable earnings growth to drive long-term value creation going forward. Expects transaction to be accretive to cash earnings in the first year and adjusted EPS in the second year. Says combined company will create $500M in cash flow on a pro forma basis in first year, rising substantially going forward as the company grows. Expects the transaction to generate cost synergies of $100M to be fully realized in 2016. Comments made during the conference call in which Albemarle and Rockwood discussed their merger.

CPI Aerostructures,(CVU) announced that Embraer (ERJ) amended its 2012 long term supply agreement with CPI Aero for the manufacture of engine inlet assemblies for the Phenom 300 business jet. The amendment is expected to generate incremental sales of approximately $9M over the next several years compared to the original agreement. The overall value of the long term agreement is now estimated by CPI Aero to be in excess of $50M.

Embraer and Saab have signed a memorandum of understanding to partner in joint programme management for the F-X2 Project, pursuant to the selection of the Gripen NG as Brazil's next generation fighter jet. Under this agreement Embraer will perform a role in the overall programme performance as well as undertake an extensive share of work in the production and delivery of both the single and two-seat versions of the state-of-the-art Gripen NG aircraft for the Brazilian Air Force. Embraer will coordinate all development and production activities in Brazil on behalf of Saab and, in addition to its own extensive work packages, will participate in systems development, integration, flight tests, final assembly and deliveries. Furthermore, Embraer and Saab will be jointly responsible for the complete development of the two-seat version of the Gripen NG, at the same time that a strategic partnership for future global promotion and marketing of both single and two-seat versions is being discussed between the two companies. The agreement will be implemented following a successful conclusion of the ongoing discussions between Saab and Brazil relating to the finalization of F-X2 contracts. These talks are proceeding as planned and it is hoped to reach a positive outcome by the end of 2014.

Shares of AeroVironment (AVAV), which develops a portfolio of products and services for unmanned aircraft and efficient energy systems, are rallying after the company reported better than expected fourth quarter results. WHAT'S NEW: Last night, AeroVironment reported Q4 EPS of 35c and revenue of $73.5M, compared to analysts' consensus estimates of 22c and $69.62M, respectively. WHAT'S NOTABLE: The company forecast fiscal 2015 revenue of $250M-$270M, compared to consensus of $256.2M, along with gross profit margins of 34.5%-37.5%. The company noted that planned increases in research and development and business development investments for Tactical Missile Systems, Commercial UAS and Global Observer business areas in FY15 may largely offset operating profit in the current fiscal year. PRICE ACTION: In morning trading, AeroVironment soared $4.49, or 14.5%, to $35.45 on nearly five times its average daily trading volume. Including today's advance, the stock is up more than 70% over the past 12 months. OTHERS TO WATCH: Other companies in the unmanned aircraft space include Lockheed Martin (LMT), General Dynamics (GD), and Northrop Grumman (NOC), though all of those are significantly larger than AeroVironment.
