08:01 EDTMS, MSCIMSCI announces $100M ASR as part of $300M repurchase authorization
MSCI (MSCI) announced that its Board of Directors authorized the repurchase of up to $300M of MSCI’s shares of common stock. As part of this authorization, MSCI has entered into a $100M Accelerated Share Repurchase agreement with Morgan Stanley (MS) which will begin immediately. The $200M balance of the authorization will be available for utilization from time to time through 2014 at the company’s discretion. Under the ASR agreement, MSCI will pay Morgan Stanley $100M in cash and receive approximately 2.2 million shares of its common stock at the inception of the ASR and may receive from Morgan Stanley additional shares at or prior to maturity of the ASR. In addition to the ASR, MSCI’s Board of Directors has authorized the purchase of an additional $200M of MSCI’s common stock.

AbbVie (ABBV) said in a regulatory filing that on May 26, it entered into an accelerated share repurchase agreement with Morgan Stanley (MS) to repurchase $5B of AbbVie’s common stock. Morgan Stanley is expected to make an initial delivery of approximately 68 million shares of AbbVie’s common stock on May 27, which represents 90% of the prepayment amount divided by the closing price of AbbVie’s common stock on May 26. At settlement of the agreement, Morgan Stanley may be required to deliver additional shares of AbbVie’s common stock to AbbVie or, under certain circumstances, AbbVie may be required to deliver shares of its common stock or may elect to make a cash payment to Morgan Stanley. The total number of shares of AbbVie’s common stock to be repurchased under the agreement will be based on the daily volume-weighted average price of AbbVie’s common stock during the term of the transaction, less a discount and subject to adjustment pursuant to the terms of the agreement. The final settlement of the transactions under the agreement is expected to occur before the end of 4Q15 and may be accelerated at the option of Morgan Stanley.This agreement was entered into pursuant to AbbVie’s previously disclosed share repurchase authorization and in connection with AbbVie’s previously announced acquisition of Pharmacyclics, which was completed on May 26.

MSCI Inc. announced that it will receive approximately 1.2M shares of its common stock on May 21 in connection with the settlement of the $300M accelerated share repurchase agreement, or ASR, it entered into on September 18, 2014. MSCI repurchased a total of 5.7M shares as part of the September 2014 ASR. The outstanding authorization of the board to repurchase shares of MSCI common stock with an aggregate value of up to $550M is part of MSCI’s commitment to return approximately $1B in capital to shareholders by the end of 2016.
