Legal experts say that it is unlikely that a full Congress will revisit the issue of patent reform before the election in November, says the Wall Street Journal. Large technology companies like Google (GOOG) and Microsoft (MSFT) are pushing Congress to reform patent laws to curb litigation from patent-holding firms, added the Wall Street Journal. Libya will resume exports from Es Sider, its largest oil port, next week following a one-year disruption, sources tell the Wall Street Journal. Es Sider's preliminary loading plans involve six 60,000 barrel tankers drawing on oil stored at the terminal, split between state-owned National Oil Co, Hess (HES), ConocoPhillips (COP) and Marathon Oil (MRO). Praesidium Investment Management, which beneficially owns approximately 5.4M shares of TIBCO Software, announced last night that it sent a letter to TIBCO's Board of Directors, in which it stated in part: "We were happy to read in the Wall Street Journal that TIBCO Software has started to reach out to potential acquirers. We support the Company's exploration of a potential sale as a way to maximize shareholder value. However, the article states that the talks are not part of a formal process and are being spearheaded by TIBCO's CEO, Vivek Ranadive. We strongly believe that a rigorous, formal process is required in order for the Board to make a fully informed decision in good faith regarding whether a sale, a stand-alone strategy or another alternative is in the best interests of the Company's shareholders. In order to avoid conflicts of interest, we think that it is imperative that the Board form a special committee of independent directors and that the special committee engage with an investment bank and legal advisors...We believe the Board has an opportunity to create a significant amount of value for shareholders through a formal and well run sales process. Praesidium, as a large, long-term TIBCO shareholder, would be more than willing to assist the special committee in pursuit of maximizing value for TIBCO shareholders. We intend to provide the Board our analysis and views on who we see as the potential strategic acquirers and how TIBCO's products would fit with each."

Reports Q4 revenue $1.1B, consensus $994.1M. As previously announced, on July 1, Hillshire Brands entered into a definitive agreement with Tyson Foods (TSN) under which Tyson will acquire all outstanding shares of Hillshire Brands for $63 per share. On August 12, 2014, each of Tyson and Hillshire Brands received a request for additional information, each often referred to as a “second request,” from the Antitrust Division of the Department of Justice in connection with the proposed acquisition. Each second request was issued pursuant to the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended. The second requests relate only to a very small portion of the combined Tyson/Hillshire Brands business, and the parties are working expeditiously to resolve this matter with the Antitrust Division. Tyson and Hillshire Brands continue to expect that the transaction, which remains subject to customary closing conditions, will be completed by September 27.

Marathon Oil, through its wholly owned subsidiary Marathon Oil Exploration, announced it has signed an exploration and production sharing contract, or EPSC, for Gabon offshore Block G13, which was named Tchicuate upon signing, located in the deepwater, pre-salt play. The company was the high-bidder on the block in Gabon's licensing round in October 2013. The Tchicuate Block encompasses 275,000 acres with water depths ranging from approximately 3,250 to 8,250 feet. It is located approximately 50 miles offshore the coast of Gabon and near proven shallow-water, pre-salt oil discoveries. Marathon Oil holds a 100% participating interest and operatorship in the block. In the event of development, the Republic of Gabon will assume a 20% financed interest in the contract upon commencement of production. The State holds additional rights to participate in the block in the future as a co-investor. Marathon Oil also holds a 21.25% working interest in the non-operated Diaba License G4-223, encompassing 2.2M gross acres, where the Diaman-1B discovery was made in 2013.

Westmoreland Coal (WLB), through its Coal Valley Resources subsidiary, has entered into several agreements that will result in all of its Coal Valley Mine export tonnage being shipped through Ridley Terminals located in Prince Rupert, British Columbia, Canada, beginning January 2015. CVRI voluntarily entered into a Termination Agreement with Westshore Terminals, located in Roberts Bank, British Columbia, Canada, to terminate its throughput capacity at Westshore effective as of December 31. Under a separate, but related agreement, Cloud Peak (CLD) paid $37M to CVRI in order to obtain CVRI's capacity at the fully utilized Westshore Terminals.
