American Anesthesiology, a subsidiary of MEDNAX, announced the acquisition of Pinnacle Anesthesia, P.L., a physician group practice that provides comprehensive anesthesia services at two hospitals and five office-based locations in Palm Beach County, Florida. The physician group practice consists of 15 anesthesiologists, who practice as part of a care team model that includes 16 group-employed certified registered nurse anesthetists. MEDNAX paid cash for the acquired practice, and the transaction is expected to be immediately accretive to earnings. No additional terms of the transaction were disclosed.

MEDNAX's results from operations for Q1, when compared on a sequential basis to 4Q15, will be affected by annual seasonality. These factors include a significant increase in expenses associated with Social Security payroll taxes that are higher at the beginning of every year, as compared to Q4 of each year as well as impacts on net revenue during Q1, on a sequential basis, because there are fewer calendar days than in Q4. These recurring items reduce MEDNAX's EBITDA, net income, and EPS for Q1 of each year, relative to other quarters throughout the year.
