In connection with the Nominating Committee’s review of candidates for the Board of Directors, Dr. David C. Collins has nominated Dr. John R. Phillips for election to the Board as a Class II director in connection with the 2013 Annual Meeting. As stated in Amendment No. 1 to the Annual Report on Form 10-K of the company filed January 28, the company’s 2012 annual meeting of shareholders did not occur within 60 days of the record date for the 2012 Annual Meeting as required by Delaware law and the company’s Bylaws. As a result, the two current Class II directors elected at the 2012 Annual Meeting, will continue to serve as “holdover directors” until their successors are duly elected and qualified. | |
