06:53 EDTLNVGYLenovo completes acquisition of Motorola Mobility from Google
Lenovo (LNVGY) and Google (GOOG) announced that Lenovo’s acquisition of Motorola Mobility from Google is complete. Lenovo will operate Motorola as a wholly-owned subsidiary. Motorola’s headquarters will remain in Chicago. Google will maintain ownership of a majority of the Motorola Mobility patent portfolio, while Motorola will receive a license to this rich portfolio of patents and other intellectual property. Motorola will retain over 2,000 patent assets and a large number of patent cross-license agreements, as well as the Motorola Mobility brand and trademark portfolio. The total purchase price at close was approximately $2.91B, including approximately $660M in cash and 519,107,215 newly issued ordinary shares of Lenovo stock, with an aggregate value of $750M, representing about 4.7% of Lenovo’s shares outstanding, which were transferred to Google at close. The remaining $1.5B will be paid to Google by Lenovo in the form of a three-year promissory note. A separate cash compensation of approximately $228M was paid by Lenovo to Google primarily for the cash and working capital held by Motorola at the time of close. IBM (IBM) announced that on October 1 the company and Lenovo (LNVGY) completed the initial closing of the sale of IBM’s industry standard server business to Lenovo. The transition began on October 1 in countries that are part of the initial closing, which included most major markets. The transaction is expected to close later this year in most other countries which have a larger business footprint, with the remaining countries following in early 2015. The transaction price is approximately $2.1B and as consideration, IBM received $1.8B in cash, with the remaining consideration paid in Lenovo stock.
