Landec announced that its subsidiary, Apio, has increased its equity investment in Windset Holdings by purchasing 15,857 shares of non-voting Junior Preferred Stock which represents 8.5% of the outstanding Junior Preferred Stock and an additional 68 shares of Common Stock from the Newell Capital Corporation. The purchase of the 68 shares of Common Stock of Windset represents an additional 6.8% share in Apio's ownership in Windset and increases Apio's total Common Stock ownership in Windset from 20.1% to 26.9%. The aggregate purchase price for the Junior Preferred Stock and the additional Common Stock was $11M. With the increase in Apio's Common Stock ownership, beginning in 1Q15, Apio will recognize 26.9% of the quarterly change in the fair market value of Windset. The increased ownership is not expected to have a significant impact on the change in the fair market value recognized by Apio in FY15 since the purchase of the new 68 shares of Common Stock approximated fair market value at the time of transaction.

Intel (INTC) said on its earnings call that the Haswell-EP Xeon E5 high-performance CPU built on the Grantley platform is already being shipped in pre-production quantities and is on track for a CYQ3 launch. Macquarie said Intel's commentary is a positive for the HPC market and Mellanox (MLNX) should see corresponding demand. Shares are Outperform rated with a $52 price target.

American Midstream Partners announced the execution of a Purchase and Sale Agreement with an affiliate of DCP Midstream to acquire entities holding onshore natural gas processing and offshore natural gas gathering and transportation and oil gathering assets for consideration of approximately $115M. The acquisition is expected to be funded through the private placement of American Midstream common units. The acquisition is expected to close in August, subject to approval under Hart-Scott-Rodino and other customary closing conditions. The assets to be acquired include the Mobile Bay gas processing plant, Dauphin Island gathering and transmission system, and DCPs interest in the Main Pass Oil Gathering System. American Midstream updated its forecast for 2014 adjusted EBITDA to a range of $44M-$47M and distributable cash flow to a range of $24M-$27M. The updated 2014 forecast includes the assets to be acquired from DCP, including assumptions for costs associated with acquisition integration and company growth, and does not include other acquisitions, drop downs, or asset development projects the partnership is pursuing. Forecasted growth capital expenditures in 2014, which exclude capital for maintenance, were updated to a range of $65M-$70M to account for accelerated capital costs to accommodate faster drilling and higher throughput for the producer customer on the Lavaca natural gas gathering system that is under construction.

Janney Capital said it expects Mellanox' (MLNX) Q2 revenue to be in-line and for its Q3 guidance to be conservative, as the firm believes the High Performance Computing market has temporarily slowed ahead of Intel's (INTC) release of its Grantley processors. However, the firm thinks that HPC will recover soon and it maintains its Buy rating and $57 fair value estimate on Mellanox.
