Kaman announced that its Distribution Segment, Kaman Distribution Group, has executed a definitive agreement to acquire substantially all the operating assets of B.W. Rogers Company and certain affiliated entities. The acquisition significantly expands Kamanís footprint in both fluid power and automation. The transaction is expected to close early in Q2. Terms were not disclosed. The transaction excludes operating assets and associated liabilities relating to the sale of certain products, tools, equipment, supplies, accessories and components to the automotive industry, which will continue to be owned and operated by B.W. Rogers. During 2013, B.W. Rogers had sales of approximately $113M, approximately $12.5M of which were attributable to the excluded assets.

Kaman Corporation announced that its Aerospace segment has been awarded a contract modification in the amount of $58M for the procurement of Joint Programmable Fuzes. The award is the first order under Option 12 of Kamanís JPF contract with the U.S. Air Force. Delivery of the fuzes is anticipated to occur in 2016 and 2017. Kaman has been the sole provider of the JPF to the USAF since 2002. In addition to the USAF, Kaman provides the JPF to twenty-six other nations.

Kaman Corporation announced that its Aerosystems division has been awarded an extension to its current contract with Bell Helicopter to manufacture skin and skin to core components for the Bell UH-1Y and AH-1Z helicopters. This five-year follow on contract has an expected value in excess of $25M. The components will continue to be manufactured at the Kaman Composite Structures facility in Bloomfield, Connecticut.
