Disclosed in a regulatory filing: The Merger Agreement contains specified termination rights for both Tyson (TSN) and Hillshire (HSH). Under certain circumstances, Hillshire will pay Tyson a termination fee of $261,340,000 and will reimburse Tyson the amount of the Pinnacle (PF) Termination Fee previously paid by Tyson to Pinnacle, on behalf of Hillshire.
