The idea is on hold as they wait to see how the business fits into the final version of new regulations such as the Volcker rule, which is scheduled to be implemented in coming months. But the fact that Goldman has considered a possible restructuring of such a major business shows how dramatically new rules are reshaping the investment-banking landscape. Reference Link |

| 19:28 EDT |  | GS | Ebix, Goldman Sachs affiliate terminate merger agreement Ebix (EBIX) announced that it and an affiliate of Goldman Sachs (GS) have agreed to terminate their previously announced merger agreement. The merger agreement, announced on May 1, had provided for Ebix to be acquired by an affiliate of Goldman Sachs. The decision to terminate the merger agreement was the result of a letter received by Ebix on June 14 from the U.S. Attorney for the Northern District of Georgia that it had opened an investigation into allegations of intentional misconduct that had been brought to its attention from the pending shareholder class action lawsuits against the company's directors and officers, the media and other sources. The merger agreement is being terminated without payment of a termination fee by either party and each party and certain significant shareholders of Ebix and each of their respective affiliates have agreed to release each other from all claims arising under or related to the terminated merger agreement and related transaction agreements. Ebix's board of directors announced that it intends to continue to evaluate strategic options for the company. |
