Varian Medical Systems (VAR) announced that it has entered into an agreement with New York Proton Management, a consortium of leading New York healthcare institutions including Memorial Sloan Kettering Cancer Center, Mount Sinai Health System, Montefiore Health System, and ProHEALTH Medical Management formed to operate The New York Proton Center, the first proton facility in New York State. Varian will provide the center, which will have four treatment rooms and a research room, with its ProBeam system, as well as 10 years of service for approximately $115M. The center, which will be located in Manhattan, is expected to open for treatment in the first half of 2018. Varian expects to book the equipment portion of the order in Q4 with the remainder of the order to be booked in accordance with the company's policies over the term of the agreement. Under an agreement with MM Proton I, LLC, the project developer, Varian's international subsidiary in Switzerland will provide $91.5M in project financing, including a six-and-half-year $73M senior first lien loan at 9% interest and a six-and-half-year $18.5M subordinate loan at up to 13.5% interest. Other lenders for the $242.7M in total project loans include JPMorgan Chase Bank (JPM) and an affiliate of The Goldman Sachs Group (GS). The project facility is managed by Murphy & McManus, a Boston-based developer of healthcare and life science facilities and Norton Travis of NLT Advisors served as project coordinator on behalf of the consortium.

As previously reported, on June 2, Wendy's and the Trian Group entered into a purchase agreement. At Wendy's request, the Trian Group agreed not to tender or sell any of their shares in the offer and instead agreed, pursuant to the purchase agreement, to sell a pro rata amount of their shares of common stock to the company at a purchase price per share equal to the purchase price determined and paid in the offer, following the completion of the offer. Pursuant to the purchase agreement, on July 17, the company acquired 18.42M shares of common stock, in the aggregate, from the Trian Group at a price of $11.45 per share, for an aggregate purchase price of approximately $210.9M. Trian Group currently holds approximately 19.56% of the outstanding shares of common stock. As such, the Trian Group has completed its previously announced plan to sell a sufficient number of shares to reduce its holdings in the company by at least 20% in order to avoid adverse federal income tax consequences in connection with the transaction. Following completion of the transaction, the Trian Group remains the company’s largest stockholder based on current share ownership information on file with the SEC. In addition, Nelson Peltz continues to serve as the chairman of the board of the company, Peter May continues to serve as vice chairman of the board of the company and Edward Garden continues to serve as a director of the company.

Boeing released a new forecast showing continued strong demand for commercial airline pilots and maintenance technicians as the world's airlines add 38,000 airplanes to the global fleet over the next 20 years. Boeing's 2015 Pilot and Technician Outlook projects that between 2015 and 2034, the world will require 558,000 new commercial airline pilots and 609,000 new commercial airline maintenance technicians. The 20-year projected demand for new pilots and technicians by region is: Asia Pacific – 226,000 pilots and 238,000 technicians; Europe – 95,000 pilots and 101,000 technicians; North America – 95,000 pilots and 113,000 technicians; Latin America – 47,000 pilots and 47,000 technicians; Middle East – 60,000 pilots and 66,000 technicians; Africa – 18,000 pilots and 22,000 technicians; Russia / CIS – 17,000 pilots and 22,000 technicians.
