13:23 EDTWMT, FDO, DG, DLTRIcahn 'pleased' with Family Dollar deal, 'hopeful' alternate deal may surface
Carl Icahn released the following statement regarding Family Dollar Stores (FDO): "While we continue to believe there are a handful of potential buyers who could realize greater synergies through a combination with Family Dollar and are hopeful that one or more of them will surface as a result of todayís announcement, we are extremely pleased with Dollar Treeís (DLTR) intention to acquire Family Dollar in a transaction that values the company at $74.50 per share. This is a big win for all shareholders of Family Dollar and yet another validation of the activist investment philosophy in general." Another company in the space, Dollar General (DG), has previously been speculated as an alternative partner for Family Dollar and Wal-Mart (WMT) is seen as a competitor to dollar store operators.

06:57 EDTWMTWal-Mart, Trinity church courtcase scheduled for April 8, WSJ says
A U.S. appeals court on April 8 will decide whether Wal-Mart shareholder Trinity church can force the company to hold a shareholder vote on gun sales, reports the Wall Street Journal. Wal-Mart maintains that what it chooses to sell in its stores is a matter of "regular business" and is not subject to shareholder review. Cornell law professor Lynn Stout and three dozen of her peers have submitted friend of the court briefs to support Trinity, which won an initial case against Wal-Mart in November. Reference Link

11:27 EDTFDO, DLTRDollar Tree says FTC has identified 250 stores for divestiture to date
Dollar Tree (DLTR) disclosed in a regulatory filing that, as of March 10, the FTC has identified approximately 250 stores for divestiture, representing approximately $34M of operating income, related to the company's planned acquisition of Family Dollar (FDO). "We expect the FTC to substantially complete its review of all remaining stores in the near future. We continue to estimate that no more than roughly 300 stores will be required to be divested, although we can give no assurance as to the exact number and it could be more or less than 300. In parallel, we have made good progress with divestiture buyers and have received multiple indications of interest from buyers, each of whom intend to operate these divested locations as dollar stores to address the FTC's concerns. We will work to secure FTC approval and finalize divestiture agreements with the selected bidder(s) as soon as practical," the company added. Dollar Tree note that it is working to close the proposed merger as early as April, but it is uncertain whether the FTC will approve the transaction by that date.
