ENSCO International Incorporated announced a plan to reorganize its corporate structure and relocate its headquarters to the United Kingdom. In connection with the restructuring, the company entered into an Agreement and Plan of Merger and Reorganization with ENSCO Newcastle LLC, a newly formed Delaware limited liability company and wholly owned subsidiary of ENSCO Global Limited, a newly formed Cayman Islands exempted company and wholly owned subsidiary of the company. Under the Merger Agreement, Ensco Mergeco will merge with and into the company, with the company being the surviving company and an indirect subsidiary of a newly formed public limited company to be named “Ensco International plc” or a similar name, incorporated under English law. Ensco UK is currently a private limited company named “ENSCO International Limited” and is a wholly owned subsidiary of the Company. :theflyonthewall.com

Ensco (ESV) announced that one of its subsidiaries has entered into a contract for ENSCO 8506 with Anadarko Petroleum Corporation (APC). The initial contract term is for two and one-half years in the U.S. Gulf of Mexico at a day rate of $530,000 plus cost adjustments. The contract adds more than $480M to revenue backlog. Delivery of ENSCO 8506 from Keppel FELS Limited shipyard in Singapore is scheduled for third quarter 2012 followed by contract commencement in fourth quarter 2012 once mobilization, sea trials and acceptance testing have been completed. :theflyonthewall.com
