On November 18, EMC's Board of Directors approved a plan to reorganize its international operations by transferring certain assets of its RSA and Data Domain entities and legacy foreign corporations owned directly by EMC into a single EMC international holding company. The international subsidiaries acquired in connection with its acquisitions of RSA and Data Domain will be combined into EMC's existing foreign companies. In connection with the reorganization, EMC's international holding company will issue to EMC approximately $4B of consideration consisting of stock and cash. This plan is part of EMC's ongoing cost transformation program and is intended to facilitate EMC's international expansion, reduce costs, improve the efficiency and effectiveness of the company's organizational structure, further strengthen the company's operations and position the company for improved business agility in the future. EMC expects the new structure of its international subsidiaries to be completed in 2010. In connection with the reorganization, EMC will incur a charge of approximately $100M in Q4. :theflyonthewall.com

Stocks on Wall Street were higher, as the market waits another day for Greece to reach a deal that will allow it to get its much needed financial aid. Stock futures were lower throughout the pre-market trading session as investors remained nervous without a Greek debt deal in place. The futures action led to a lower open for the broader market but the losses were moderate. The market drifted off its lows following comments from Fed Chairman Bernanke to the Senate Banking Committee in which he reiterated that interest rates would remain low through 2014. The averages crossed into positive territory and continued to drift while remaining in a narrow range... ECONOMIC EVENTS: Domestically, the Fed reported that consumer credit rose by $19.3B in December. From Europe, reports early in the day said that Greek politicians had drafted an agreement on austerity measures that will allow the country to get its next bailout payment, but later reports said that a meeting on the deal was postponed to tomorrow... MARKET NEWS: Coca-Cola's (KO) Q4 earnings fell from the same quarter last year but its adjusted EPS topped expectations, sending shares higher and buoying the Dow... Xstrata (XSRAY) agreed to be acquired by Glencore in a share swap that values the miner at $61.9B. The company also reported earnings and revenue that beat Street estimates... MAJOR MOVERS: Notable gainers included Coinstar (CSTR), up $6.97, or 13.79%, to $57.53, after its Q4 results surprised to the upside and the company agreed to buy assets of NCR's (NCR) entertainment business for $100M, and Standard Pacific (SPF), up 62c, or 15.31%, to $4.67, on better than expected earnings. Among the noteworthy losers were Nevsun Resources (NSU), down $1.94, or 30.60%, to $4.40, after its 2012 production guidance disappointed, and Fusion-io (FIO), down $1.70, or 6.88%, to $23.02, as Craig-Hallum reiterated its Sell rating but Lazard Capital said it expects no meaningful change to Fusion-io's near-term revenue trajectory as a result of a competing product introduction from EMC (EMC)... INDICES: The Dow gained 33.07, or 0.26%, to 12,878.20; the Nasdaq added 2.09, or 0.07%, to 2,904.08; and the S&P 500 rose 2.72, or 0.20%, to 1,347.05. :theflyonthewall.com
