09:16 EDTDOVDover subsidiary OPW to acquire Liquip, terms not disclosed
OPW, a business unit within Dover's Fluids segment, announced it has signed a definitive agreement to acquire all the outstanding shares of Liquip International headquartered in Smithfield, NSW, Australia. Liquip is a leading Australian designer and manufacturer of bulk liquid handling and storage solutions in the petroleum, aviation, and chemical markets. Liquip expects to generate revenue of approximately $40M in 2014. The transaction is subject to certain customary and other closing conditions, and is expected to close in Q3. Terms of the transaction were not disclosed.

Reports Q1 revenue $1.72B, consensus $1.72B. The decrease in revenue was driven by an organic revenue decline of 6% and a 4% unfavorable impact from foreign exchange, offset in part by 5% growth from acquisitions. The company incurred $24M in restructuring charges in the quarter, primarily in Energy. These restructuring actions were in addition to $37M in charges incurred in the fourth quarter of 2014. Dover expects to pursue additional cost reduction actions as we move through the year.
