Cypress Semiconductor (CY) has integrated Ramtron (RMTR)’s ferroelectric random access memory products into its portfolio. F-RAM is the industry’s lowest-power nonvolatile memory. This new combination serves a broad range of applications that require data to be retained when power is lost. The merger between Cypress and Ramtron was officially completed on November 20. Cypress is maintaining Ramtron part numbers. There will be no supply disruption for more than 95% of production parts.

Spansion (CODE) and Cypress Semiconductor (CY) have begun laying off 1,600 employees as part of their merger process, reports the Mercury News, citing an internal memo. by Cypress CEO TJ Rodgers. The layoffs will take roughly three weeks and will be equally split between the two firms. Reference Link

Cypress Semiconductor (CY) and Spansion (CODE) announced that they have closed the merger of the two companies in an all-stock, tax-free transaction valued at approximately $5B. In a special meeting, Cypress shareholders approved the issuance of 2.457 shares of Cypress stock to Spansion shareholders for each Spansion share they own. Spansion shareholders approved the merger in a separate special meeting. The merger is expected to achieve more than $135M in cost synergies on an annualized basis within three years and to be accretive to non-GAAP earnings within the first full year after the transaction closes. The combined company will continue to pay 11c per share in quarterly dividends to shareholders.
