In its latest monthly World Agricultural Supply and Demand Estimates report, the USDA said its season-average farm price forecast for corn is unchanged at $6.80-$8.00 per bushel, adding that it expects strong and volatile prices well into summer, particularly in the domestic cash markets. The USDA also lowered it projected range for the 2012/13 season-average soybean price by 30 cents at the midpoint and narrowed its view to $13.50-$15.00 per bushel for soybeans. Reference Link

Reports Q3 revenue $1.64B, consensus $1.53B. The company said, "Although potash and nitrogen performance improved over last year's third quarter, higher tax expenses and weaker contributions from offshore equity investments weighed on results." Potash said sales volumes continued to outpace prior-year levels, with total shipments of 2.0M tonnes for Q3 and 6.8M tonnes for the first nine months exceeding the comparative periods by 29% and 8%, respectively.

DuPont (DD) Chemicals & Fluoroproducts president Thierry Vanlancker commented on the European Commission's Statement of Objections. Vanlancker said, "DuPont has complied at all times with applicable laws in its development and commercialization of HFO-1234yf, and we plan to defend vigorously against the commission's allegations and preliminary conclusions. This is one step in a long process, and while it may take years to be resolved, we are confident that the Commission will ultimately conclude that actions taken by DuPont complied with applicable laws. We will fight this every step of the way, as it has no basis in law or fact. We are disappointed in the European Commission and in the process leading up to this point. DuPont and Honeywell (HON)developed HFO-1234yf jointly in response to the European Union's Mobile Air Conditioning Directive. This regulation requires automakers to use a refrigerant with very low global warming potential for vehicle air-conditioning systems. The regulatory timeframe was short considering the significant challenges of developing and commercializing a refrigerant that meets all the automotive industry's needs. This short timeframe was a primary reason for DuPont and Honeywell working jointly to develop HFO-1234yf. Regardless of the Statement, the EU MAC Directive remains in full force today, with all new vehicles required to use a refrigerant with a GWP of under 150 by January 2017."

Torgeir Kvidal, president and CEO of Yara International ASA stated, "This has been a constructive process, with solid work by both parties. We were able to identify significant structural and operational synergies, but in the end it became clear that we would not be able to agree on terms that would be acceptable to all stakeholders."

CF Industries (CF) announced that the company and Yara International (YARIY) have terminated their discussions regarding a potential merger of equals transaction. “I want to thank the management team and Board of Directors of Yara International for their cooperation and professionalism throughout our discussions,” stated Tony Will, president and CEO, CF Industries. “Although we identified very significant operational and structural synergies, we were ultimately unable to agree on terms of a transaction that met the requirements of all our respective shareholders.” Will continued, “CF Industries has a strong stand-alone business plan and we are confident in the material increase in our cash flow generation as our capacity expansion projects come on-stream as scheduled. We remain fully committed to driving shareholder value creation by investing in high return projects while returning excess cash to stockholders through dividends and a substantial share repurchase program.”

Archer Daniels Midland Company, or ADM, announced an agreement to purchase Specialty Commodities Inc., or SCI, a leading originator, processor and distributor of healthy ingredients, including nuts, fruits, seeds, legumes and ancient grains, for $170M, subject to post-closing adjustments. When the transaction closes, SCI will become part of ADM’s new WILD Flavors and Specialty Ingredients business unit. ADM anticipates closing the transaction, which is subject to regulatory approval, in the coming weeks.
