Starboard disclosed that it entered into a settlement agreement with Calgon Carbon whereby the company agreed to, among other things, increase the size of the board from eight to nine members, nominate and support Donald Templin and Mr. Massimo for election to the board at the 2013 Annual Meeting, amend its Rights Agreement within five business days following the date of the settlement agreement to replace in the definition of Acquiring Person any references to 10% with 15%. Starboard owns 9.2% of Calgon Carbon's outstanding shares. | |
