ConAgra Foods (CAG) and Ralcorp Holdings (RAH) announced that they have received a “no-action letter” from the Canadian Competition Bureau confirming that the Commissioner of Competition does not intend to challenge ConAgra Foods’ acquisition of Ralcorp. The receipt of the “no-action letter” satisfies one of the conditions to the consummation of the transaction. The transaction remains subject to certain other closing conditions, including approval by Ralcorp’s shareholders.

ConAgra Foods announced that Gary M. Rodkin, CEO, has informed the ConAgra Foods Board of Directors of his intention to retire at the end of the company’s fiscal year, May 2015. The Board of Directors has established a search committee, led by independent director Richard Lenny, to identify Rodkin’s successor. Lenny is the former chairman and CEO of The Hershey Co. and has served on the ConAgra Foods board since 2009.
