10:10 EDTBSFT, SONS, AUDC, RVBD, JNPR, APKT, ORCLIP traffic optimizers rise after Oracle buys Acme Packet
Several companies whose products enable voice and data to be conducted over Internet Protocol, or IP, networks are climbing after Acme Packet (APKT) agreed to be acquired by Oracle (ORCL) for $29.25 per share. Acme Packet's stock closed at $23.93 per share on Friday. Acme Packet, which announced the deal earlier this morning, develops network products that enable voice and data to be delivered over IP networks. Among the IP optimizers advancing in early trading are Broadsoft (BSFT), which rose 7% to $37.44, Sonus Networks (SONS), which climbed 14% to $2.60, and AudioCodes (AUDC), which added 3% to $4.14. Riverbed (RVBD), which has products that free up bandwidth for voice over IP traffic, added 2.6% to $19.84, and Juniper (JNPR), which offers IP routing products, climbed 2.3% to $22.83.

EMC (EMC) is considering selling its 80% stake in cloud computing infrastructure provider VMware (VMW), The New York Post reported today, citing unnamed sources. Calling The New York Post "surprisingly accurate" on M&A news, UBS said the likelihood of change at EMC has increased and it has become a potential takeover target. WHAT'S NEW: EMC is exploring the possibility of selling its stake in VMware, which could be acquired by HP (HPQ), according to one source, The Post reported. EMC could also look to sell other assets, the newspaper quoted a second unnamed source as saying. ANALYST REACTION: UBS analyst Steven Milunovich wrote that he is more convinced in the wake of the Post story that "something is up" at EMC. Although EMC has denied in the past that it would consider selling or spinning off VMware, the company could change its tune, the analyst stated. HP could buy VMware or all of EMC, while Oracle (ORCL) and Cisco (CSCO) are also potential buyers of EMC, Milunovich believes.The analyst kept a $33 price target and Buy rating on shares of EMC. WHAT'S NOTABLE: Activist investor Elliott Management, a hedge fund, has taken a $1B stake in EMC and wants the company to spin off VMware, The Wall Street Journal reported in July. Early last month, research firm FBR Capital wrote that an EMC spin-off of VMware could enhance shareholder value for both companies and make VMware a top acquisition candidate by a larger technology company. The firm kept an Outperform rating on EMC at that time. PRICE ACTION: In late morning trading, EMC was little changed at $29.50, down from its earlier high of $29.89. VMware fell 0.7% to $96.75, down from its earlier daily high of $97.86.

UBS calls the New York Post "surprisingly accurate on M&A" after the paper reported that EMC (EMC) is considering the sale of its stake in VMware (VMW). The firm believes the likelihood for change at the company is rising. In addition, UBS says the industry should consolidate, and it views EMC as a potential target. UBS thinks Cisco (CSCO), Oracle (ORCL) and HP (HPQ) might be interested parties in owning part or all of EMC. The firm believes an HP, EMC merger would make sense. UBS has a Buy rating on EMC with a $33 price target.

Elliott Management issued a public statement regarding Riverbed Technology, stating in part: “Riverbed’s announcement today sends a clear message to shareholders: We don’t care what you think...Going against every modern principle of shareholder engagement and good corporate governance, Riverbed’s Board has decided to ignore the wishes of shareholders on every count. The Board didn’t just ignore the larger message to stop entrenching and engage. It even decided to keep the Board member that was voted off, failed to articulate any meaningful changes to the compensation plan, and chose to keep its poison pill. Above all, the Board continues to ignore serious acquisition interest even after the company publicly admitted that it will miss its “10% growth plan” by a wide margin...We have tried to engage with this Board, and our cash offer of $21 per share for Riverbed still stands. However, the Board’s decision today indicates that these directors are simply not interested in working with shareholders constructively. As one of the company’s largest shareholders, we intend to remain fully engaged, and we will continue to work toward a value-maximizing outcome.”

Sonus Networks announced that the Sonus SBC 5110 and Sonus SBC 5210 Session Border Controllers have completed the interoperability testing and information assurance certification for the Defense Information Systems Agency UCR2013 requirements and are posted on the JITC’s Approved Products List. The JITC APL provides a list of certified technology products for deployment in the U.S. DoD. The SBC 5110 and the SBC 5210 join the Sonus NX 1000 IP Access Switch, Promina 800 Multiplexor and VX 900, which are currently listed on the JITC’s APL.
