Bristol-Myers Squibb (BMY) and AstraZeneca (AZN) announced that following the successful completion of the acquisition of Amylin Pharmaceuticals (AMLN) by Bristol-Myers Squibb, AstraZeneca has made an initial payment of approximately $3.2B to Amylin Pharmaceuticals, now a wholly-owned subsidiary of Bristol-Myers Squibb. As previously disclosed, the payment is being made in connection with the expansion of the diabetes alliance between AstraZeneca and Bristol-Myers Squibb to incorporate the development and marketing of Amylin’s portfolio of diabetes products, and profits and losses arising from the collaboration will be shared equally. AstraZeneca has also informed Bristol-Myers Squibb of its intention to exercise its option to acquire certain additional governance rights over key strategic and financial decisions regarding Amylin’s portfolio. The right to exercise this option will become effective once applicable anti-trust and competition approvals are received by AstraZeneca. Upon the exercise of the option an additional payment of $135M will be made to Bristol-Myers Squibb.

AstraZeneca (AZN) presented the results of two pivotal Phase III studies of naloxegol showing the 25 mg dose of the investigational drug met its primary and secondary endpoints for efficacy and showed a safety profile consistent with previous studies. Data was presented at the Digestive Disease Week meeting in Orlando, Florida. The primary endpoint in both trials was percentage of OIC responders, versus placebo, over 12 weeks of treatment. The secondary endpoints included the 12-week response rate in a laxative inadequate response population, the median time to first spontaneous bowel movement and the number of days per-week with at least one bowel movement. Plans for naloxegol will be finalized over the coming months, incorporating the outcome of ongoing discussions with health authorities in the US, EU and Canada, the company said. Naloxegol, a peripherally-acting mu-opioid receptor antagonist, has been specifically designed for the treatment of opioid-induced constipation and is part of the exclusive worldwide license agreement announced on 21 September 2009, between AstraZeneca and Nektar Therapeutics (NKTR).

The firm notes a Daily Mail report last night said Bristol-Myers (BMY) has engaged advisors to study an acquisition of Shire and that Shire's CEO has contacted bankers to consider anti-takeover measures. Leerink believes a Bristol-Myers takeover of Shire would make sense and keeps an Outperform rating on Shire.
