11:20 EDTBMY, AMLN, AZNBMY, AstraZeneca to expand diabetes alliance when Amylin deal completed
Bristol-Myers Squibb (BMY) and AstraZeneca (AZN) announced that, following the completion of Bristol-Myers Squibb’s acquisition of Amylin (AMLN), the companies will enter into collaboration arrangements, based on the framework of the existing diabetes alliance, regarding the development and commercialization of Amylin’s portfolio of products. Following completion of Bristol-Myers Squibb’s acquisition of Amylin, AstraZeneca will make a payment to Amylin, as a wholly owned subsidiary of Bristol-Myers Squibb, in the amount of approximately $3.4B in cash. Profits and losses arising from the collaboration will be shared equally. In addition, AstraZeneca has the option, exercisable at its sole discretion following the closing of the acquisition, to establish equal governance rights over key strategic and financial decisions regarding the collaboration, upon the payment to Bristol-Myers Squibb of an additional $135M. These collaboration arrangements have been approved by the boards of directors of Bristol-Myers Squibb and AstraZeneca.

Optimer (OPTR) has received first round bids from AstraZeneca (AZN), Cubist (CBST), and Astellas, reports Bloomberg, citing people familiar with the matter. Shares of Optimer spiked higher following the report, closing up $1.85, or 14.44%, to $14.66. The report notes the company disclosed almost three months ago it was exploring its strategic options. Bristol-Myers (BMY) and Pfizer (PFE) announced yesterday that results from a prespecified subanalysis of the ARISTOTLE trial were published in Circulation, the peer-reviewed journal of the American Heart Association. Results from the subanalysis showed that the reductions in stroke or systemic embolism, number of major bleeding events and mortality demonstrated with Eliquis compared to warfarin in the ARISTOTLE trial were consistent across subgroups defined based on levels of International Normalized Ratio control in patients with nonvalvular atrial fibrillation. This story corrects a headline from yesterday.

Array (ARRY) announced the planned start of its first company-led Phase 3 trial with MEK162 in low-grade serous ovarian cancer. This is the third MEK162 pivotal trial that is expected to initiate in 2013 and one of five pivotal trials Array expects to begin in 2013 on Array-invented products. Novartis (NVS), who is co-developing MEK162 with Array, previously stated that Phase 3 trials in NRAS-mutant melanoma and BRAF-mutant melanoma are expected to start this year and AstraZeneca has announced its plans to initiate two registration trials with selumetinib, a MEK inhibitor invente (AZN) d by Array, in KRAS-mutant non-small cell lung cancer and in thyroid cancer. Array also recently released initial data on its wholly-owned hematology drug, ARRY-520, from a combination trial with Velcade® (bortezomib) in patients with relapsed or refractory multiple myeloma (MM), showing that the drug was generally well-tolerated and showed initial signs of activity in this heavily pretreated population.
