Atmel to acquire Newport Media for $140M Atmel announced that it has signed a definitive agreement to acquire Newport Media, a provider of high performance low power Wi-Fi and Bluetooth solutions. The purchase price is $140M cash, subject to working capital adjustments, plus an additional earn-out of up to $30M to be paid subject to achievement of future revenue thresholds over two years. The transaction is subject to customary closing conditions, including anti-trust review, and is expected to close during the third calendar quarter. Atmel will fund the transaction with cash on hand and borrowings under its existing credit facility. NMI recorded $43M in annual revenue during 2013 and the acquisition is expected to be accretive to Atmel's non-GAAP financials in the second half of 2015.
Dialog shareholders approve allocation of shares to complete Atmel takeover Dialog Semiconductor (DLGNF) announced that at an extraordinary general meeting of shareholders held today, the Dialog shareholders have approved the allocation of shares required to complete the company's previously announced acquisition of Atmel Corporation (ATML). The resolution was approved by a vote of 61.94% of the shares represented at the meeting. The transaction remains subject to approval of Atmel's stockholders and other customary conditions. The parties continue to expect completion of the transaction during the first quarter of 2016.
