Shares of zulily (ZU) are sinking after the e-commerce company cut its fiscal year 2015 revenue and adjusted EBITDA guidance. The company’s second quarter revenue outlook also significantly trailed analysts’ consensus estimates. WHAT'S NEW: Zulily yesterday reported first quarter adjusted earnings per share of 1c and revenue of $306.6M, compared to analysts’ consensus estimates of (3c) and $313.13M, respectively. Gross margin for the quarter increased year over year to 30.1% and adjusted EBITDA increased 66% year over year to $4.4M. The company reported active customers in Q1 of 5M, up 35% year over year. Total orders placed increased to 6.3M for Q1, an increase of 15% year over year, while the average order value was $56.26, an increase of 2% year over year. For the 12 months ended March 29, 86% of orders were placed by customers who had previously purchased from zulily, the company said. Additionally, zulily noted that in Q1, approximately 55% of orders were placed from a mobile device, up from approximately 50% in Q4. WHAT’S NOTABLE: Zulily forecast Q2 revenue of $285M-$300M, well below analysts' consensus estimates of $358.57M. The company also sees Q2 adjusted EBITDA $8M-$12M. The company lowered its FY15 revenue outlook to $1.3B-$1.4B from $1.5B-$1.65B, also significantly below analysts' estimates of $1.56B, and cut its FY15 adjusted EBITDA view to $55M-$70M from $55M-$80M. Capital expenditures, net of tenant improvement allowances, are expected to be between $35M-$40M and will be primarily for fulfillment centers to support growth and drive productivity, the company said. In other notable news, zulily appointed Brian Swartz as senior vice president and Chief Financial Officer, effective June 1. Swartz has served for the last six years as SVP and CFO of Apollo Education (APOL). ANALYST REACTION: Analyst commentary was overwhelmingly negative this morning. Oppenheimer downgraded zulily to Perform from Outperform and thinks there is too much risk to the company's near-term guidance, given the continued downward revisions to its forecasts. Another firm, Stifel, downgraded zulily to Hold from Buy. The firm thinks the company is having more difficulty than it expected with transitioning to a more sustained long-term e-commerce business model. Janney Capital said the firm has "been wrong" about zulily and lowered its fair value estimate on the shares to $13 from $22 after the company's guidance missed expectations. However, the firm maintains its Buy rating on the stock as it continues to see value in the franchise. The firm believes zulily's lowered guidance appears conservative in the second half considering its "significantly easing" order comps. PRICE ACTION: In late morning trading, zulily fell $2.12 or nearly 18% to $9.70 on approximately four times its average daily trading volume. Earlier in the session, the stock hit a fresh 52-week low of $9.09. Including today's pullback, the shares have lost approximately 78% over the past 12 months. OTHERS TO WATCH: Online retailers that compete in the space include Overstock.com (OSTK) and Amazon.com (AMZN).

The European Commission has launched an antitrust competition inquiry into the e-commerce sector in the European Union. The inquiry, as announced by Commissioner Vestager in March, will allow the Commission to identify possible competition concerns affecting European e-commerce markets. It complements actions launched within the framework of the Digital Single Market Strategy adopted today. The sector inquiry will focus particularly on potential barriers erected by companies to cross-border online trade in goods and services where e-commerce is most widespread such as electronics, clothing and shoes, as well as digital content. Knowledge gained through the sector inquiry will contribute to better enforcement of competition law in the e-commerce sector. the Commission's competition sector inquiry will gather market information in order to better understand the nature, prevalence and effects of these and similar barriers erected by companies, and to assess them in light of EU antitrust rules. If, after analyzing the results, the Commission identified specific competition concerns, it could open case investigations to ensure compliance with EU rules on restrictive business practices and abuse of dominant market positions. In the coming weeks, the Commission will send requests for information to a range of stakeholders throughout the EU. The companies concerned may include, for example, manufacturers and wholesalers as well as e-commerce retailers. Under EU antitrust rules the Commission can require companies and trade associations to supply information, documents or statements as part of a sector inquiry. The Commission expects to publish a preliminary report for consultation in mid-2016. The final report is expected in the first quarter of 2017.

Pattern Energy Group (PEGI) announced its acquisition of the 150 MW Amazon Wind Farm project in Indiana from Pattern Energy Group. Upon completion of the project, Pattern Energy will have an owned interest of 116 MW and it is expected that institutional tax equity investors will acquire the balance. Pattern Energy acquired the Amazon Wind Farm project for a total cash funding commitment of approximately $127M, a portion of which will be used to pay down construction debt upon the completion of construction. The acquisition will be funded from available cash and credit facilities. The project has entered into a long-term power purchase agreement with Amazon (AMZN) to supply electricity to the electric grids that service Amazon Web Services datacenters.

Stocks on Wall Street opened lower and remained in negative territory throughout the day. The market received little help from better than expected data on jobless claims and personal income and spending reports. The market moved in a fairly narrow range for most of the day, albeit at sharply lower levels. ECONOMIC EVENTS: In the U.S., initial jobless claims slid 34K to 262K in the week ended April 25, versus expectations for 290K first time claims. Personal income was unchanged in March, versus expectations for a 0.2% increase, while consumer spending rose 0.4%, versus expectations for a 0.5% increase. The Chicago PMI rose 6.0 points to 52.3 in April, which was better than the expected 50.0 reading. COMPANY NEWS: Shares of Apple (AAPL) slid $3.49, or 2.71%, to $125.15 after The Wall Street Journal reported after the market close yesterday that the company was forced to limit production of its Apple Watch after a part involved in the watch's taptic engine supplied by AAC Technologies was shown to break down over time, forcing the company to shift to the use of a part produced by a second supplier. Apple has moved almost all of its production of the part to Nidec, but the Japanese supplier may take time to ramp up production, the report noted. MAJOR MOVERS: Among the notable gainers was Glu Mobile (GLUU), which jumped $1.36, or 25.19%, to $6.76 after the social game maker reported better than expected first quarter results, announced a game development deal with Britney Spears and said Tencent Holdings (TCEHY) had agreed to buy a stake in the company. Also higher was ClickSoftware (CKSW), which gained $2.60, or 26.48%, to $12.42 after agreeing to be acquired by private funds managed by Francisco Partners Management in an all-cash transaction valued at approximately $438M. Under the terms of the agreement, Francisco Partners will acquire all of ClickSoftware's outstanding ordinary shares for $12.65 per share in cash. The Conference Board's consumer confidence index dropped 6.2 points to 95.2 in April, versus expectations for it to have risen to 102.2. The Richmond Fed manufacturing index rose to -3 in April, versus expectations for a reading of -2. COMPANY NEWS: Shares of Apple were little changed near noon after the company last night reported March quarter earnings and sales well above expectations and boosted its shares buyback program to $140B from $90B and quarterly dividend by 11% to 52c. FBR Capital called the quarter “Picasso-like,” while Brian White at Cantor Fitzgerald upped his price target on shares to $195. Less sanguine are analysts at Pacific Crest, Maxim and Deutsche Bank. Noted investor Carl Icahn said afterward that Apple is "still undervalued and misunderstood" and promised to put out another in-depth report on the company within two weeks... IBM (IBM) approved an 18% increase in its quarterly dividend to $1.30 per common share. MAJOR MOVERS: Among the notable gainers was Dow member Merck (MRK), which advanced 5% after its Q1 sales and EPS beat expectations. Analysts' consensus estimate for the company's fiscal year 2016 revenue is near $121B. WHAT'S NEW: Amazon's higher margin businesses, including Marketplace and its cloud services business, AWS, should subsidize its near-breakeven retail business, Sebastian believes. The company's disclosure of AWS' financial metrics supports the viability of that approach, according to the analyst. Meanwhile, Amazon will look to boost its retail revenue using a variety of means, including lower prices and local delivery, wrote Sebastian. Amazon is likely to continue to look to boost its revenue at the expense of its margins, but its consolidated segment operating income will be 5%-7% by 2020, according to Sebastian, who kept a $465 price target and Outperform rating on the shares. Though he did not update his price target, Sebastian noted that a "sum-of-the-parts" analysis suggests upside towards the $500 range for Amazon shares. Apple (AAPL) is set to report second quarter earnings after the market close on Monday, April 27, with a conference call scheduled for 5:00 pm ET. Apple, the world's most valuable company by market capitalization, is the manufacturer of the iPhone and iPad, among other desktop and mobile computing devices. EXPECTATIONS: Analysts are looking for earnings per share of $2.16 on revenue of $56.06B, according to First Call. The consensus range for EPS is $1.89-$2.43 on revenue of $51.37B-$59.46B. Along with its last earnings report, Apple said it sees Q2 revenue of $52B-$55B and a gross margin between 38.5%-39.5%. In a note to investors, Piper Jaffray analyst Gene Munster said he believes Apple will report revenue, excluding foreign exchange impacts, in line with Street estimates of $56B, implying 57M iPhones. Munster added that he believes the Street is currently looking for 42.7M iPhones in the company's June report, 45.1M in September, and 73.4M in December. LAST QUARTER: Apple reported first quarter EPS of $3.06, which topped the consensus estimate for $2.60. First quarter revenue of $74.6B also beat the $67.69B consensus expectation. Apple reported it sold 74.5M iPhones, 21.42M iPads and 5.52M Macs in Q1. Apple reported a Q1 gross margin of 39.9%, versus 37.9% in the same quarter of last year. NEWS: On February 11, Carl Icahn stated that he has gained further confidence in his thesis on the company, increasing the forecasted EPS for FY 2015 in his model from $9.60 to $9.70. Ichan noted then that he believed the market "should value Apple at $216 per share." A few days later, Financial Times reported Apple had been recruiting automotive technology and vehicle design experts who are at work in a confidential Silicon Valley location near the company’s Cupertino campus and The Wall Street Journal said the company was working secretly toward creating an Apple-branded electric vehicle. On March 6, S&P Dow Jones Indices announced Apple had been selected to replace AT&T (T) in the Dow Jones Industrial Average after the close of trading on Wednesday, March 18. On March 9, Apple announced that Apple Watch would be available on Friday, April 24 to customers in Australia, Canada, China, France, Germany, Hong Kong, Japan, the U.K. and the U.S. In addition to unveiling the Watch that day, Apple also announced a lower price tag of $69 for Apple TV, debuted the thinner new edition of its MacBook and Time Warner's (TWX) HBO announced HBO NOW was coming to Apple TV, making an HBO subscription available directly to Apple customers for the first time. ANALYST OPINION: On the day after Apple's last earnings report, a number of analysts hiked their price targets for the stock, with Cantor increasing its price target to what was then a "Street high" $160 from $143. In a note to investors on March 23, Cantor analyst Brian White then raised his price target on Apple to $180 from $160. At $180 per share, the company's total valuation would be about $1 trillion, the analyst stated. The streaming TV offering it will reportedly launch could be a stepping stone into making actual TVs, according to White, who noted that the LCD TV market is worth $100B a year. Additionally, given the 4G expansion in China, as well as the larger iPhones and Apple's relationship with China Mobile (CHL), Apple is better positioned than ever in China, according to the analyst. The reviews of the Apple Watch suggest that the product will be far short of "insanely great," Raymond James analyst Tavis McCourt wrote in a note to investors on April 10. The lukewarm reviews could raise doubts in investors' minds about the company's ability to launch successful new products and iPhone unit sales are likely to drop in fiscal 2016 versus fiscal 2015, McCourt contended. Against this backdrop, Apple's stock is likely to remain range-bound, wrote McCourt, who downgraded the stock to Market Perform from Outperform. Last April, Apple increased its share repurchase to $90B from $60B and increased its dividend by 8% to $11B annually, Piper's Munster has pointed out. This year, the firm believes "the bogey" for investors is a 15% increase to Apple's total reported capital return number, share repurchase plus past dividends, which would imply a $150B headline number, up from the $130B announced last year. Piper, however, estimates the most likely range for Apple's new capital return policy will fall between $170B and $180B. It keeps an Overweight rating on the stock with a $160 price target. This morning, Brean Capital analyst Ananda Baruah initiated shares of Apple with a Buy rating and $160 price target ahead of the company's March quarter report. Baruah told investors that consensus estimates for the iPhone maker are "materially low" though 2017. The analyst sees upside through 2017 from iPhone shipments and favorable gross margin due to greater than expected sales of the more profitable 6 Plus. PRICE ACTION: Shares of Apple advanced 5.65% on the first day of trade following its Q1 report. Over the last three months, shares of Apple are up more than 20%. In afternoon trading ahead of its Q2 report, Apple is up 1% to $131.58 per share.

Amazon.com (AMZN) is expected to report first quarter earnings after the market close on Thursday, April 23 with a conference call scheduled for 5:30 pm ET. Amazon.com is an online retail company that also provides consumer electronics and cloud computing services. EXPECTATIONS: Analysts are looking for earnings per share of (13c) on revenue of $22.39B. The consensus range is (56c)-35c for EPS, and $21.74B-$22.88B for revenue, according to First Call. LAST QUARTER: Amazon.com reported fourth quarter EPS of 45c against estimates of 17c, on revenue of $29.33B against estimates of $29.67B. The company gave Q1 revenue guidance of $20.9B-$22.9B and Q1 operating income guidance of ($450M)-$50M, compared to $146M in the year-ago period. Amazon also reported worldwide paid Prime memberships increased 53% in 2014. NEWS AND STREET RESEARCH: During Amazon’s Q4 earnings conference call, CFO Thomas Szkutak said the company will look to invest in China and India. In the past quarter, an Economics Times report said the company was planning to create its own fashion and lifestyle private brands in India. RBC Capital says the company’s outlook is still positive due to significant opportunity for growth in India. UBS noted that Amazon could benefit from restructuring its China operations, making a case for Amazon to exit the country as it faces stiff competition from Alibaba (BABA) and Jd.com (JD). Amazon.com expanded its two-hour delivery program to Brooklyn, Baltimore, Miami, Austin and Atlanta. Piper Jaffray said the expansion of the program is "encouraging" and will prevent retailers from gaining mindshare from Amazon. The company announced the launch of its Amazon Giveaway tool, AWS Marketplace, new Fire TV features and greenlit five new Amazon Original series, but it plans to shut down Amazon Webstore. ChannelAdvisor said Amazon SSS was up 27% in January, 22.7% in February and 24.6% in March. In recommendations, the company’s price target was raised RW Baird after the firm assigned a standalone value of $40B-$45B to Amazon Web Services. Its price target was also raised at Citigroup due the company’s upcoming disclosure of new segment metrics. Earlier this month, Cleveland Research said its checks indicate Amazon has in-line sales growth and margin expansion that will lead to modest upside Q1 CSOI. Jefferies adds that the company’s fulfillment strategy will drive revenue growth acceleration in the medium to longer-term margin improvement with scale. Baird also said that its Amazon.com survey suggests accelerating growth trends in product selection and Prime-eligible units. Piper Jaffray said it is positive on Amazon shares because the firm believes margins will exceed expectations for the next two quarters. Ahead of the company’s Q1 earnings report, Amazon was upgraded at Monness Crespi citing a the release of results for Amazon’s Web Service segment. The firm called it a "catalytic event" outside of the company’s "standard beat-and-raise" type of report. Amazon was downgraded, however, at BGC Financial due to the negative impact of currency. BGC added that it expects the company to "sustain its investment cycle regardless of overall profitability." PRICE ACTION: Amazon.com shares have increased over 24% over the last three months. In Thursday trading ahead of the Q1 report, Amazon.com shares are down 0.35%.
