Alcoa and Noble Group announced the signing of a definitive agreement that will result in Alcoa World Alumina and Chemicals selling 100% of its ownership stake in the Jamalco bauxite mining and alumina refining joint venture to Noble for $140M. AWAC will continue as the managing operator for three years under a compensated service agreement and employees will remain employed by Jamalco. The Jamalco joint venture is 55% owned by Alcoa Minerals of Jamaica and 45% owned by Clarendon Alumina Production. AMJ is part of the AWAC joint venture, owned 60% by Alcoa and 40 percent by Alumina. CAP is a company wholly owned by the Government of Jamaica. The sale is subject to customary regulatory approvals, and is expected to close by the end of Q4. As a result of the transaction, Alcoa will record a non-cash loss of approximately $80M-$100M, or between 7c-9c per share, after-tax and non-controlling interest in Q4. This sale is in line with Alcoa’s strategy to create a globally competitive commodity business.

Kinder Morgan Energy Partners (KMP) announced that KMP’s Tennessee Gas Pipeline Company, or TGP, successfully closed a binding open season for its South System Flexibility Project for 500,000 dekatherms per day of capacity. MexGas Supply, formerly known as MGI Supply, the natural gas supply arm of Petróleos Mexicanos, has been awarded 100% of the project capacity. Anticipated project capital is $187M, with service beginning as early as Jan. 1, 2015. In addition, TGP initiated a binding open season Oct. 9 for its proposed Lone Star expansion project, which includes an incremental 300,000 Dth/d of firm transportation from Tennessee to South Texas for future infrastructure projects. TGP has secured an unnamed foundation shipper for this project and will announce the results and further details upon the close of the open season, which is scheduled for Oct. 31. The volumes committed are sufficient to justify building the project. The general partner of KMP is owned by Kinder Morgan (KMI). KMI owns the general partner interests of KMP and El Paso Pipeline Partners (EPB), along with limited partner interests in KMP, Kinder Morgan Management (KMR) and EPB.

JPMorgan says SolarCity lowered its pricing in California, implementing a fixed price of 15c per watt, down from a prior average of 17c. To reflect the change, SolarCity dropped the NPV of its average new residential deployment to $1.75 per watt from $2.19 historically, the firm notes. JPMorgan cut its Retained Value estimates and dropped its price target for SolarCity shares to $74 from $83. The firm believes the price change could be tied to the proposed compression of rate tiers in 2015, allowing the company to address a larger market. It keeps an Overweight rating on SolarCity.
